1st PPM

Review: I am [redacted] with [redacted] a video game software company. We sought capital to help the release of our new game [redacted]). A Mr. [redacted] with 1st Round Capital LLC in San Diego (just changed company name to 1st PPM) told me that he had the investors lined up for the money and just needed me to give them $3,800 to draft the PPM for the deal. When I asked about if the deal didnt go through do I get a refund he reassured me a deal has never not gone through on them and not to worry. Well 2 months later there is no deal and I feel I was scammed from him. When I confronted his company about a refund I received this reply "We do not do loans and we are not in a position to guarantee funding and evident in our Agreement. You did not pay an advance fee for funding. You have paid for, "READ, UNDERSTOOD AND APPROVED" of a Private Placement Memorandum and we have been attempting to help bring awareness of your Offering to others so that they may give you prompt consideration." Let this serve as a warning to anyone thinking of using this company to secure private funding for you.Desired Settlement: We would like a full refund for being falsely lead into paying for a useless PPM contract which was only purchased because we were told by Mr. [redacted] that is the only thing keeping the funding from being secured.

Mr. [redacted]'s assertions and malicious attack are completely unfounded. Our Agreement clearly states our purpose, duty and limitations. Mr. [redacted] further fails to return emails and phone calls. Our role as a consultant is limited to presenting the Client's Offer. Our Agreement was completed when Mr. [redacted] wanted to change the terms that investors had declined. Mr. [redacted] has breached our Agreement and continues to take missteps. Because the statements are false, are only response is to let our Agreement in writing speak for itself. - [redacted]
