Ms [redacted] 's complaint is without merit and is factually incorrect We prepared and filed all documents required to perform the services for which we were hired in a professional and timely manner Applications for both Federal 501cand State tax exempt status were prepared and submitted Her Articles of Incorporation were prepared and filed with the Secretary of State, and her bylaws and other corporate documents were prepared as well The Federal forms were filed with the IRS, processed, and she received her Federal 501ctax exempt status, as we promised The State of CA exemption application was also prepared and filed with the Franchise Tax BoardMs [redacted] was recently informed by the FTB that the application was placed on hold until she filed a Statement of Information with the Secretary of State(This is a 1-page form requesting basic corporate information, and can be filed online in about minutes.) This is a standard filing required of all corporations in the State, and is the responsibility of the client to fileShe did not file this form, and when she does, her State exemption will be approved, as we promised I regret her dissatisfaction with this delay, but it is solely because she did not take care of her responsibilities to her own corporation that this delay occurredWe have been providing nonprofit services to animal rescue organizations for over years, have prepared over 501capplications with a 100% success rate However, we cannot babysit a case when the client will not undertake even the slightest effort to finalize her own nonprofit status It is her business, and we cannot run it for her
I regret that I have nothing further to add to my previous response I will summarize our final position on this matter:
Client hired us to draft and submit all required documentation to obtain Federal and State tax exempt status under IRS 501cfor her dog rescue organization All documents required to obtain said status, both on the Federal and State level, were submitted to the appropriate agencies in a timely and professional manner Client received her Federal tax-exempt status under 501cbased on the documents we prepared and submitted to the IRS Client has a legal obligation in CA, as a representative of the corporation, to file a Statement of Information with the Secretary of State upon her Articles of Incorporation being filed by the State Despite our providing step-by-step instructions, Client has failed to file this legally required form, which consists of page and takes about minutes to file online Despite our providing ALL required State documents to the CA Franchise Tax Board, they will not approve any application for exemption where the organization has not filed its legally required Statement of Information with the Secretary of State If Client had simply followed our directions and filed the Statement of Information, her State exemption would have already been approved with no further action required on our part Instead, Client opted to post a libelous and incendiary "review" of our services online, and took the time and effort to prosecute this complaint For whatever reason, she apparently feels that pursuing this course of action, which will never result in her obtaining her State exemption, is somehow preferable to simply filling out the form and being done with itIn closing, we have prepared over nonprofit applications for charitable clients over the past years, with a 100% success rate We perform a valuable service, but the old adage that you can't please everyone is apparently applicable in this case

submitted. Her Articles of Incorporation were prepared and filed with the Secretary of State, and her bylaws and other corporate documents were prepared as well. The Federal forms were filed with the IRS, processed, and she received her Federal 501c3 tax exempt status, as we promised.
The State of CA exemption application was also prepared and filed with the Franchise Tax Board. Ms. [redacted] was recently informed by the FTB that the application was placed on hold until she filed a Statement of Information with the Secretary of State. (This is a 1-page form requesting basic corporate information, and can be filed online in about 5 minutes.) This is a standard filing required of all corporations in the State, and is the responsibility of the client to file. We have been providing nonprofit services to animal rescue organizations for over 20 years, have prepared over 200 501c3 applications with a 100% success rate. However, we cannot babysit a case when the client will not undertake even the slightest effort to finalize her own nonprofit status. It is her business, and we cannot run it for her.
I regret that I have nothing further to add to my previous response. I will summarize our final position on this matter:1. Client hired us to draft and submit all required documentation to obtain Federal and State tax exempt status under IRS 501c3 for her dog rescue organization.2. All documents required to obtain said status, both on the Federal and State level, were submitted to the appropriate agencies in a timely and professional manner.3. Client received her Federal tax-exempt status under 501c3 based on the documents we prepared and submitted to the IRS.4. Client has a legal obligation in CA, as a representative of the corporation, to file a Statement of Information with the Secretary of State upon her Articles of Incorporation being filed by the State.5. Despite our providing step-by-step instructions, Client has failed to file this legally required form, which consists of 1 page and takes about 5 minutes to file online.6. Despite our providing ALL required State documents to the CA Franchise Tax Board, they will not approve any application for exemption where the organization has not filed its legally required Statement of Information with the Secretary of State.7. If Client had simply followed our directions and filed the Statement of Information, her State exemption would have already been approved with no further action required on our part.8. Instead, Client opted to post a libelous and incendiary "review" of our services online, and took the time and effort to prosecute this complaint. For whatever reason, she apparently feels that pursuing this course of action, which will never result in her obtaining her State exemption, is somehow preferable to simply filling out the form and being done with it.In closing, we have prepared over 200 nonprofit applications for charitable clients over the past 20 years, with a 100% success rate. We perform a valuable service, but the old adage that you can't please everyone is apparently applicable in this case.
Revdex.com:
I have reviewed the response made by the business in reference to complaint ID [redacted], and have determined that this proposed action would not resolve my complaint. For your reference, details of the offer I reviewed appear below.
He did file and I received for the Federal IRS Tax exempt, however he has not done the State. I have a letter from the State saying that not everything has been filed, and that if not filled they will reject my application. I have requested that 501c34u file this as well as send me copies of everything he "claims" to have done. As of right now I have no proof of anything no Articles of Incorporation, no bylaws and no other corporate documents that he claims to have filed and sent me copies of. As far as saying things were filled in a timely manner, that is 100% false because they had me send all documentation to an incorrect address which delayed him in getting the documents by 2 months. On September 16th I requested the address to mail everything to on October 3rd they responded asking what address because they were moving, and on October 30th he received the documents. SO YES THERE WAS A HUGE DELAY. Then it still took him over a month to file any of the paperwork with the IRS and according to the letter from the state has not filed with the state any of the required documents.
