Review: I received a letter today stating that this was a second notice that my state taxes were not payed by June first thus I incurred an inexcusable late fee. I called, [redacted], as directed by the letter for questions and assistance, and [redacted]r, who identified himself as a legal assistant. I informed Mr. [redacted] that this was the first notice I received from the company today and he said let me check my computer. he said the computer states a letter was mailed in may. I stated I never received an email or letter until today. he said the same statement over three times. I am unsure if this is how they treat all customers that have been with the company since 2007 but this is despicable.Desired Settlement: I never received notification by mail until today, August 28th. I beleive the late fee should be waived.

Response:

Dear Ms. [redacted], Thank you for your email. We are responding to the Revdex.com complaint. We wanted to extend our offer of one year of free agent service at a value of $99. Please let us know if this resolution is acceptable. Below is our response. We apologize for your customer service experience. Best, [redacted] September 3, 2015 [redacted] Re: Revdex.com Complaint Response: Agents and Corporations, Inc. [redacted] Dear [redacted] Thank you for letting us know about Ms. [redacted]’s concern about not receiving the first tax notice for THE [redacted] LLC. We appreciate both Ms. [redacted]’s loyalty and her choice to keep Agents and Corporations, Inc. as her LLC’s registered agent, despite this unsatisfactory experience. We regret that Ms. [redacted] had an unsatisfactory customer service experience. On or about August 28, 2015, Ms. [redacted] called our office asking about why she was receiving a delinquent notice for her Delaware LLC tax when she did not recall receiving or did not receive the first notice. The representative who responded to the call was a lawyer in our office who had just joined a few months ago as a legal consultant to assist in new company formations and registered agent services. He informed her that our office had previously forwarded by First Class Mail in early April 2015 the first Delaware Franchise Tax notice before the deadline with an instructional cover letter from our office informing her that the deadline for payment was June 1. He also informed her that our office had sent at least two email reminders of the deadline, one was sent on May 22, 2015 at 11:14 a.m. EST. Ms. [redacted] did not acknowledge receiving these emails or the first letter in the mail. The legal consultant either informed her or should have informed her that we also keep notes on returned mail and that her account did not show the mail being returned to our office. She confirmed her address and email was correct in our customer database. We were not in a position to offer to waive the late fee because the taxes and penalty are imposed by the state of incorporation, not our office. The state’s position is that every LLC has to pay the tax by June 1, regardless of whether the notice is received. While we regret that Ms. [redacted] did not pay before the deadline, this is not unusual. We also sent out about 10,000 other LLC tax notices. It appears that the thousands of other LLC notices found their intended recipients. It is possible Ms. [redacted]’s notice was lost in the postal service and has not yet been returned to our office by the postal service. Agents and Corporations, Inc. is not able to waive or negotiate this fee because it is a state fee, however, Agents and Corporations, Inc. is willing to make other arrangements as a one-time accommodation to assist this consumer, to provide one year of complimentary registered agent service, should she wish to accept this $99 value. We have instructed the new legal consultant to ask a colleague or manager for assistance the next time he provides a response to a customer which is not satisfactory to avoid him repeating the same response three times in a row, which is not helpful. Thank you for your feedback. Yours truly, [redacted]

[redacted] (Agents and Corporations) are fantastic. They were recommended by a friend. I initially wrote them off because they seemed to be more expensive than competitors, but after doing a lot of research - and after discovering competitors were charging high annual fees, additional State filing fees, etc. and 'hiding' them - I realized that IncNow was actually a couple of hundred dollars cheaper. Their website is a little bit clunky: they have an auto-play video and it won't let you inspect prices until you enter your contact details. However, the service itself is *phenomenal*. I was able to call to check on some details pre-purchase, and received a confirmation call post-purchase after a late change. The service was speedy and the documents are solid. The whole thing took less than 24 hours. I would highly recommend IncNow.com and will continue to use them in the future.

Hi [redacted],

I just wanted to reach out and thank you for your guidance, your patience with me and thoroughly answering ALL of my questions; even the silly ones. You responded immediately to me through e-mail and took the time to call me and talk me through everything. I don't believe that I could have done all of this work without your help. I am forever grateful to you. You were not only professional, patient and gentle with me, but also your friendly demeanor gave me confidence to take the appropriate steps to "start up". I wish more people were as through as you.

If you don't mind I would love to keep you updated with my progress with my startup.

And lastly, whoever hired you should know what a gem you are!

Sincerely,

[redacted]Founder, [redacted]
