For your records:
Ms. [redacted] contacted our office June of 2013 in regard to forming an S Corporation for her new real estate business; we prepared all necessary IRS and Colorado forms and established the corporation for her.  She took two months to pay this...

invoice.  At the time of incorporation, we informed Ms. [redacted] of her obligation to make monthly Electronic Federal Tax Payments to IRS, as well as her requirement to submit quarterly payroll tax reports for both Federal and State agencies.  On 6/24/13, she sat with me as I enrolled her in the Federal Electronic Tax Payment System and showed her how to use it.  These are services our Firm offers.  We also advised her that there are penalties associated with failing to meet these obligations. This is standard information our Firm provides to all new corporate clients.
 
Our process is to email clients the first of each month that payroll taxes are due; we follow up with a call.  We send a secure link for them to use in uploading accounting information to us.  As with every other professional office a person uses, we believe it is the client’s responsibility to keep us informed of changes in contact information.  We never heard from Ms. [redacted], despite emails from me stating that her failure to get these reports file on time would result in IRS penalties.  Generally, when an email is sent to a faulty address, it bounces back; none of hers ever came back to our office.  My belief is she simply ignored our communications.
 
Our Firm has been in business for over 30 years and we serve approximately 100 corporate clients, in addition to 500 individual clients and several not-for-profits; many of these are long-time 15-25 year clients. To this point, Ms. [redacted] in our only Revdex.com complainant, which I think says more about her that about our Firm.
 
Ms. [redacted] is exactly correct in her description of my company-wide email.  Besides myself and my husband, our Firm has two staff people.  We are all bound by the same confidentiality ethics dictated by the accounting profession.  All staff is updated about changes in client status.  That was the purpose of this email.  Staff needs to be updated on who new clients are, what clients are exiting, etc.  And yes, based on Ms. [redacted]’s poor payment history, I indeed said I would send her balance to collection.  Our firm generally works on a “pay when you receive the product” basis; we instead were willing to bill Ms. [redacted].
 
In my book, “C Clients” (the category into which Ms. [redacted] falls) are those business owners who fail in their obligation to comply with IRS regulations regarding payroll tax reporting; who fail to communicate with our office; who ignore deadlines; and who take no responsibility for their businesses.  We do our utmost to ensure that our clients have what they need on a timely basis; we do not cause clients to miss deadlines.  However, we can’t force business owners like Ms. [redacted] to communicate with us or file anything.
 
I understand she is quite unhappy about her IRS penalties; but no, I did not cause them and I have no intention of reimbursing her for them.  They happened because of her failure to meet IRS requirement for her business.
 
As we communicated to her the first week in October 2013 and in the first week of January,2014, she needed to get with us, provide us information, so that we could prepare the Quarterly payroll reports that she needed to be submitted 10/31/13 and 1/15/14. We heard nothing.  When she finally surfaced in early April, 2014 I informed her that, because of IRS requirements, I could not sign her S-Corp tax return without an expense for Officers Compensation on line 7 for the Form 1120S and that, consequently, I would need to prepare her 4th Quarter, 2013 payroll reports that she needed to file; that they had been due 1/15/14 and that there would be penalties for the late filing.  She said she understood and agreed to this.  She had no problem signing the electronic filing authorizations for both her S- Corp and her personal return.
 
Bottom line – she created a penalty situation for herself and she wants to shove the responsibility back to me.  Do what you have to do – I have 499 other clients, many of whom send flowers for the job done, posted complimentary comments on social media thanking me for what I’ve done, etc.
