I am a shareholder of [redacted]. C & Z Associates is the accounting firm for [redacted]. On July 19, 2011, I called at around 4 PM ET to request a copy of the 2010 tax return for the restaurant. Tracy at C & Z Associates refused repeatedly to give me a copy stating that she needs approval from another shareholder. I told her that as a shareholder of the corporation that I am legally entitled a copy of 2010 tax return and I could provide proof that I am a shareholder. She even acknowledged that right but still would not give me a copy. Later she transferred me to [redacted], the account. I told [redacted] that I needed to see the 2010 tax return. He also refused. I also informed him that as a shareowner I have the right to see it. After multiple requests, he told me that he did not file the 2010 tax return yet and had filed an extension. I then asked him to monthly meal tax/revenue statements that the restaurant paid him to prepare. He also told me that he needed approval from another shareholder before he could divulge that information to me unless he receives a request from a lawyer.
He said that he did not get OK from the other shareowner. C & Z Associated refused to give me accounting information when as a shareholder I am entitled to that information. Also the corporation paid for C & Z Associates services not that particular shareowner that they interface. [redacted] and [redacted] both confirmed that I am entitled to that information but chose not comply with the law.
