To whom this may concern,  As you can see in the forwarded email below, we have spoken to [redacted] multiple times and explained our circumstances.   His “lifetime” membership was with a business that no longer exists. Catalyst Health & Fitness is not liable or responsible...

for any commitments had by previous  establishments, as we simply purchased the assets of the pre-existing business, and not the pre-existing business itself.  We simply took over a facility of a company that was being evicted.  With that said, we have attempted in every way to do right by [redacted], by refunding and canceling his membership but yet he continues to find avenues to degrade our business regardless of the tremendous  support and positive feedback we have received from the rest of our membership, proving our intentions.  We have done no harm. With that being said, I’d like to provide some immediate feedback to our scenario and then will allow my Attorney Neal White to respond if any further clarification or documentation is required to validate. [redacted] purchased a membership with [redacted] of which no longer is in existence. That membership was transferred and honored under their existing terms with [redacted] LLC (previous tenant in Middlebury location) as [redacted] acquired 60-some odd locations approximately 4 years ago. As part of the acquisition deal, [redacted] not only inherited all of the account receivables, but also the liabilities and commitments of [redacted]. Our scenario is a bit different as [redacted] was exiting the premises and simply sold their assets (membership’s and equipment included) to Catalyst Health & Fitness (CHF Middlebury, LLC). That asset acquisition does not include liabilities, therefor not holding us liable for nay [redacted] commitments, as we did not purchase their business, rather their assets as of February 1st, 2015.  However in good faith, until our entire renovation of our facility was completed (9 month duration), we maintained everyones monthly membership at their current rate and honored all Paid-in-full contracts for the duration of their pre-purchased time, regardless of not being compensated by [redacted] to do so. As we approached the completion of our construction, and using the membership information transferred over to us from [redacted] during the asset acquisition, in August of this year, we mailed all members a 60 day notice that their membership rate was going to increase in a detailed letter covering all work done, new membership rates and the discounted rate we offered them as existing members. We also outlined that no member was in any form of committed contract and they have every right to cancel if need be, however if they chose to stay, respectfully, we were offering long time existing members a reduced rate ($24.95 a month, instead of the $43.95 we charge for new members) which would automatically begin in October of 2015 if no action was taken.                                          ... that was used to mail correspondence to [redacted]  [redacted]   After [redacted] spoke to our assistant manager James K[redacted] at the club, we informed [redacted] we could cancel his membership if he would like us to do so however he did not want to void his contract and it seems he wanted to first pursue this course of action.  If [redacted] wants us to cancel his contract, we would be more than happy to do so and refund him his “increased” membership dues even though appropriate correspondence was made in a fair amount of time. We are not in business to do wrong by our customers and would have not been so well received if that was the case.  We understand that [redacted] sees a significant percentage increase to his previous membership rate however, the membership rate he was paying is not anywhere near industry standard and given that the Middlebury location he belonged to was on the verge of being shut down due to it’s unsanitary conditions by the Torrington Health inspector, a substantial investment was required to revive the facility and with that, a fair market value membership rate is necessary to sustain it.
