my name is David P [redacted] and I am responding to complaint ID: [redacted] I am a managing member of CTH Group LLC This is the entity that was in contract to purchase the property located at [redacted] ** Upper Arlington, OH with [redacted] & [redacted] It appears that the complaint was filed against [redacted] Property Management (Seakat, LLC dba [redacted] Realty Group) [redacted] Realty Group is a real estate brokerage based out of Cleveland, OH I am a licensed Realtor in the state of Ohio and my license is held with [redacted] Realty Group The purchase contract that derived the complaint is between CTH Group, LLC (Buyer) and [redacted] & [redacted] (Sellers) This contract has nothing to do with the business practices of [redacted] Property Management, Seakat, LLC, or [redacted] Realty Group I was not acting in the capacity of a Realtor for this transaction I was acting in the capacity of a buyerThe reason [redacted] Property Management's name got involved is because I gave the [redacted] my business card to disclose that I am a Realtor and to provide my contact information My business card has [redacted] Realty Group's info on it I would like to request that [redacted] Property Management, (Seakat, LLC dba [redacted] Realty Group) be removed completely from this complaint [redacted] Realty Group is a brokerage that has been doing business since and has never had a complaint about their business practices In reviewing the contract between CTH Group, LLC& [redacted] / [redacted] , it clearly states in section - "If Buyer is unable to complete the purchase for any reason, the earnest money deposit shall be forfeited to the Seller as total liquidated damages and buyer is released from any further obligation under this contract." Hence, the $which is awaiting Mr [redacted] at [redacted] Title Agency is all he is entitled to In closing, it is unfortunate that we were unable to purchase the property at [redacted] Rd Upper Arlington, OH from [redacted] & [redacted] Multiple contractors found major repairs on this property that we did not account for at the time we signed the contract When these repairs were brought to our attention, we could not justify the purchase price which was agreed upon at the time the purchase and sale agreement was signed by both parties It is also unfortunate that our company had to forfeit $but that is what we agreed to do, and that is what we did Our company CTH Group, LLC has been successfully buying properties, rehabilitating properties, providing housing, improving neighborhoods, and increasing property values in and around Columbus Ohio for many years We have never had any complaints In fact, we have a lot of testimonials and references we can provide if you wish to verify our validity as a company that practices ethical business We're hoping that Mr [redacted] finds his way to [redacted] Title Agency to collect the $earnest money deposit that he is entitled to We were also made aware that Mr [redacted] already has his property under contract with someone else so it sounds like he is well on his way to having his property sold Thank you for taking the time to resolve this Gratefully & Respectfully yours, Dave P [redacted] CTH Group LLC

Based on MrC***'s message to MrBorrows, the title issues that were affecting the sale of the property were still underway and not fully resolved on the 19th of August The contract between CTH Group, LLC and *** ** ***/*** ** *** expired on the 14th of August as Mr*** says in the fourth sentence of his rejection: "The contract we entered into with Mr P*** and Mr *** expired on the 14th of August."I've attached a copy of the signed purchase and sale agreement for your review Please take note of section that states "If Seller cannot provide clear title, Buyer will be released from further obligation under this contract, including the return of any earnest money deposit." Based on the above information, the title issues were still underway (August 19th) AFTER the contract expired (August 14th) Therefor, the Seller was NOT able to provide clear title before the expiration of the contract Based on the contract Mr*** signed, the Buyer (CTH Group, LLC) is released from further obligation under this contract, INCLUDING THE RETURN OF ANY EARNEST MONEY DEPOSIT" Mr*** states in his rejection: "On the 24th of August we felt we had no choice but to threaten legal actionOn the 25th, the deadline we had set, strangely enough we get an email from Mr P*** that the $dollars was now available at the title company." The threat of legal action from *** ** *** on August 24th states, "Your first and best option would be to have a closing scheduled by close of business tomorrow Your second option would be to forward us a release, along with earnest money, as well as our September mortgage payment of Should you choose the second option we will seek further damages; realtor fees, closing fees, lost revenue, legal fees, as well as expenses we've accumulated due to the sale being delayed."As you can see, *** ** *** & *** ** *** are threatening to sue CTH Group LLC for the $earnest money (which we've already proven with the above information they are not entitled to), a mortgage payment, and a bunch of other things that are 100% unreasonable As soon as we received this threat, we presented it to one of our attorneys Our attorney felt that *** ** *** & *** ** *** were clearly trying to extort unrightful monies from our company Even in the original Revdex.com complaint you can see that *** ** *** was requesting the $earnest money deposit AND an extra $for a mortgage payment Respectfully, if CTH Group LLC agreed to making a mortgage payment for MrBorrows, why wouldn't Mr*** document that in the contract? Maam,Again I feel I must reject the response by these unscrupulous businessmen. First let me share with you who I am: I am a US Army Soldier who has served for years, most of them as a Military Police Officer I also carry a 'Secret' security clearance and have been assigned to the President''s security detail I do not lie, twist, or distort the truth in spite of the clear implication that I do so I have a year record that will refute that insinuation.Mr *** admits in his statement he had no intention of putting the earnest in the hands of a third party until an attorney told him he should.The contract already protected these two gentlemen from the possibility of clear title issues Withholding the earnest money was merely an attempt by these two gentlemen to avoid contractual obligations Mr ***, Mr ***'s cohort, admitted on the phone that they had errored in the estimations of both property value and repair/improvement costs and they didn't know if they wished to go through with the deal The clear title issue is resolved and would not have cost these two a SINGLE PENNY! The reason [redacted] Property Management's name got involved is because I gave the [redacted] my business card to disclose that I am a Realtor and to provide my contact information.  My business card has [redacted] Realty Group's info on it.  I would like to request that [redacted] Property Management, (Seakat, LLC dba [redacted] Realty Group) be removed completely from this complaint.  [redacted] Realty Group is a brokerage that has been doing business since 1992 and has never had a complaint about their business practices.  In reviewing the contract between CTH Group, LLC. & [redacted], it clearly states in section 3.2 - "If Buyer is unable to complete the purchase for any reason, the earnest money deposit shall be forfeited to the Seller as total liquidated damages and buyer is released from any further obligation under this contract."  It appears that [redacted], the individual who administered the complaint, was under the impression that CTH Group, LLC did not deposit the $500 earnest deposit which is to be forfeited to him as the Seller in the event that CTH Group, LLC  was unable to close.  I assure you that the funds are sitting with the title company:  [redacted] Title Agency.  Please contact them to confirm.  [redacted] Title Agency - ###-###-####.  We are not sure why [redacted] or [redacted] has not gone to pick the funds up.  It also appears that [redacted] is requesting that CTH Group, LLC pays $1101.00 to cover his next mortgage payment.  It says nothing in the purchase contract and it has never been discussed that CTH Group, LLC would pay this.  Refer back to section 3.2 of the purchase contract which states "the earnest money deposit shall be forfeited to the Seller as total liquidated damages..."  Hence, the $500 which is awaiting Mr. [redacted] at [redacted] Title Agency is all he is entitled to.   In closing, it is unfortunate that we were unable to purchase the property at [redacted] Rd.  Upper Arlington, OH 43221 from [redacted] & [redacted].  Multiple contractors found major repairs on this property that we did not account for at the time we signed the contract.  When these repairs were brought to our attention, we could not justify the purchase price which was agreed upon at the time the purchase and sale agreement was signed by both parties.  It is also unfortunate that our company had to forfeit $500 but that is what we agreed to do, and that is what we did.  Our company CTH Group, LLC has been successfully buying properties, rehabilitating properties, providing housing, improving neighborhoods, and increasing property values in and around Columbus Ohio for many years.  We have never had any complaints.  In fact, we have a lot of testimonials and references we can provide if you wish to verify our validity as a company that practices ethical business.  We're hoping that Mr. [redacted] finds his way to [redacted] Title Agency to collect the $500 earnest money deposit that he is entitled to.  We were also made aware that Mr. [redacted] already has his property under contract with someone else so it sounds like he is well on his way to having his property sold.  Thank you for taking the time to resolve this.  Gratefully & Respectfully yours,Dave P[redacted]CTH Group LLC

Again I feel I must reject the response by these unscrupulous businessmen. 
First let me share with you who I am:  I am a US Army Soldier who has served for 28 years, most of them as a Military Police Officer.  I also carry a 'Secret' security clearance and have been assigned to the President''s security detail.  
I do not lie, twist, or distort the truth in spite of the clear implication that I do so.  I have a 28 year record that will refute that insinuation.
Mr [redacted] admits in his statement he had no intention of putting the earnest in the hands of a third party until an attorney told him he should.
The contract already protected these two gentlemen from the possibility of clear title issues.  Withholding the earnest money was merely an attempt by these two gentlemen to avoid contractual obligations.  Mr [redacted], Mr [redacted]'s cohort, admitted on the phone that they had errored in the estimations of both property value and repair/improvement costs and they didn't know if they wished to go through with the deal.  
The clear title issue is resolved and would not have cost these two a SINGLE PENNY!  The difference did nothing other than cut into the equity of the home.  It simply removed our "cash out".
I have attempted again to retrieve the earnest money we are due from the third party to end this and again, Mr [redacted] has played games with his statements.  The title company responded thus:

I am sending you both the identical e-mail.
As you are aware [redacted] Title has deposited in its escrow account $500.00 CTH Group provided our title agency as earnest money for the purchase of a property on Swansea pursuant to the real estate contract between the parties.
My understanding is the parties no longer are in contract.  Further, both the buyer and seller have now made requests to have the earnest money be turned over to them based on their interpretation of the contract.
It is our policy to only turn over earnest money when all the parties that may have a claim to the funds have authorized the identical distribution.  Obviously, that is not the case at present.
[redacted] Title will continue to hold the money in escrow until the parties can come to a resolution that you are both willing to accept.  If you cannot come to an agreement, either party may seek a court determination at which point we would turn the money into the court and have the court distribute the funds as it deems appropriate.
I am happy to answer any questions any of you may have regarding this unfortunate situation.  I apologize for any inconvenience this may cause.

Given the fact that Mr [redacted], Mr [redacted], and their business seem to have no intent of fulfilling the contract they lawfully entered into with us, I believe this matter has gone beyond the ability of your process to assist, I will be filling a formal complaint against these two individuals with the Ohio Division of Real Estate and Professional Licensing.
