CT Corporation

This company will take your company and will not respond to phone calls or emails. The rest of reviews on this page were my experience exactly. I wish I had seen these reviews before hiring them as my registered agent. They are a complete scam and do not provide any service.

I highly advise that you do not use CT Corporation for any services. I have never encountered a more disorganized disaster of a company. Randomly you will stop receiving responses from individuals you are working with at the company. They will continue to bill you long after your account has supposedly been "terminated." I am about to report them to the government for fraud. Choosing them to form a corporation for a business I was starting was a horrible mistake, basically choose any other registered agent services than them. They truly should not be in business anymore, I don't know how they are.

Registered in Delaware and doing business in NY, I have nominated CT Corp as my Delaware representative. I found out that the Franchise tax calculation has 2 electable options, and was disappointed to find out that CT Corp did not choose the lower one, forcing me to correct the tax return formulas time after time (so what do I need them for?). This year, I have not received from them the usual reminder and missing the deadline, I was fined by the Delaware authorities. CT Corp tried to claim they sent me such a notice, but could not produce a proof, and would not take responsibility. They did offer a pro-rated refund if I choose to revoke their representation, but when I did, they discontinued communications. I have also discovered that all those years, they have been representing me in NY State (unnecessarily as I could represent myself); I am unhappy this was not explained to me before, saving the service fee. Interestingly, the Delaware replacement I am now using charges a small fraction ... To summarize, I view CT Corp as at best a pricy disorganized operation who does not care for its customers; if this has been happening to many other customers, then it should be a lesson to all of us to shop around for an honest service provider, before picking a brand name... Ctcorporation.com is a scam. Try to call them if you don't believe. No one calls you back. There is no employee by the name of Laura Lee Stone she is attached to the letter- she is a fabrication. I have tried to follow every rule to cancel and they will not acknowledge. Mean while the bill keeps rising.
The best thing is to call your state Revdex.com or a lawyer to take them to court, for fraud.

Review: IN 1998 I filed corporate registration for [redacted], Inc. in Pennsylvania & was required to have a registered agent which I used CT Corporation. I never did any business in PA & immediately terminated [redacted], Inc. registration because the corporation that contracted with my company to do business in PA no longer needed my services there. ALL THESE YEARS I never heard anything out of PA or CT Corp until 2013 when I received an invoice from CT Corp for registered agent in PA. I contacted them immediately & obtained updated documents from PA documenting my company was inactive. I have informed CT Corp via fax & certified mail that CT Corp is no longer registered agent for [redacted], Inc. Yet I have received several invoices this year & each time have made several calls & sent faxes & certified letters but the past due notices keep coming!!! Help! Please!Desired Settlement: Letter in writing from CT Corp acknowledging they have erroneously invoiced me & that all charges have been dropped. Also confirm that CT Corp has terminated account for [redacted], Inc. & acknowledges hat they no longer represent [redacted], Inc.

Review: CT Corporation is billing for a service I did not request or want. The last time they billed me, it was turned over for collection and when I demanded to know what they specifically did and by who's authority, they discontinued calling. Now I am being billed again. CT Corporation invoice #[redacted]-** in the amount of $284.00. I feel that this is a scam.Desired Settlement: Discontinue sending invoices and turning over for collection.

I am contacting you regarding the complaint attached.

I wanted to take the time to explain our services and the invoice that is being provided.

C T Corporation System is a registered agent/office provider. A registered agent is an individual or company that receives and forwards communications and lawsuits filed against a company that is transacting business in a particular jurisdiction. It is a statutory requirement that when a company qualifies to do business in a particular jurisdiction, they must file the necessary paperwork with the Corporations Division of the Secretary of State, in this particular case, paperwork was filed with the Pennsylvania Department of State. In the paperwork, the company must appoint a registered agent/office. Various jurisdictions require either the consent of the registered agent to be noted on the filing instrument, others require simply the name and address of the agent. The Pennsylvania Department of State simply requires the name and address.

Based on the invoice provided - [redacted]-00, CT Corporation acts as registered agent for [redacted], [redacted], [redacted], INC. in the Commonwealth of Pennsylvania. I have provided below the link to the Commonwealth of Pennsylvania's website in which you can look up the company’s information and find where CT is listed as agent: [redacted]. I have also attached the snapshot for your convenience.

In a routine audit, we uncovered that we were appointed as registered agent for [redacted], [redacted], [redacted], INC. on August 6, 2004. We were not notified of the appointment. The responsibility is on the filing party to notify us of the confirmation of the appointment, however, we were not made aware at the time of filing. As a result, we did not reflect this appointment in our system. Our service as registered agent is a fee based service, and as a result, an invoice for our services was sent to the officer listed with Pennsylvania Department of State, [redacted]. Should the company elect not to continue using CT Corporation System as its registered agent/registered office address, it must file the necessary change of registered agent paperwork with the Pennsylvania Department of State to reflect the removal of CT Corporation System as its registered agent. Once that change is made, we will update our records accordingly and revise our invoice to reflect the months in which we acted as agent only.
