Former franchise purchased a cleaning franchise package in the amount of $1,500/month in recurring billings in on 5/2/16.  Former franchise was provided the purchased amount of volume on 6/1/16, well within the allotted time allotted to provide this amount of business.  Franchise...

 asked for and accepted additional business in the form of an account on 8/22/16.  Per the signed acceptance form, franchise acknowledges that: "1- I/We have had an ample opportunity to review the Account Cleaning Contract Agreement (“Account Agreement”) before deciding whether or not to accept an Assignment of the Account; and 2- I/We have a copy of the Account Agreement and the Services Attachments established by the client, including the Service Schedule and the list of Areas To Be Serviced; and 3- I/We inspected the Account premises, understand fully and can meet the Account requirements and find the contract price stated below to be fair and reasonable; and 4- The responsibility for meeting the Account Cleaning Contract requirements described in the Account Agreement for the Account named below has been assigned to my/our Vanguard Cleaning Systems of Cincinnati franchised business, and my/our VCS Business is solely responsible for providing the cleaning services, for any keys or other Account property given to me/us in connection with servicing this Account and for maintaining Account satisfaction; and 5- By accepting the Account Assignment, I/we are responsible for ensuring that my/our VCS Business has the financial and operational resources, equipment and inventory necessary to meet the Account requirements on an ongoing basis." Franchise lied to Vanguard about their ability to meet the requirements on the account acceptance agreement and fraudulently took the account.  After 60 days, former franchise approached customer without Vanguard permission and demanded more money, which was graciously granted, even though the customer was not receiving the quality of service they expected.  After continual issues with former franchise, customer asked Vanguard for a crew change due to unprofessional behavior and poor performance by former franchise, which was granted.  Due to account being lost due to poor performance by former franchise, no replacement account was required.  Since this activity occurred when Mr. [redacted] was out of town on vacation, communication was possible through Vanguard representatives.  Alleged complaints from former franchise regarding attempting to contact Mr. [redacted] in the complaint in question are unprofessional, bordering on liable.  On 12/4/16, former franchise sent communication to Mr. [redacted] and other Vanguard representatives indicated they were abandoning their franchise by method stated as follows from Item 21, Part VI of the franchise agreement: "If franchise abandons the franchise, which will be considered to have occurred if Franchise voluntarily elects to discontinue service all VCS Business Accounts..."  Since abandonment occurred, all financial obligations from former franchise, which survive termination, are now due in the amount of $13,329.31.  Vanguard will be seeking legal restitution of all monies due in the appropriate court of law.
