July 27, 2015Dear [redacted] :I represent FrontStream Holdings, LLC (“FrontStream”), and I am writing you in response to letter you sent to FrontStream on July 9, with respect to File Number [redacted] from [redacted] on behalf of [redacted] High School Association (“Association”) regarding the Association’s objection to discontinuation of the Fundraising CRM services ( the “Services") (previously known as [redacted] ) offered by FrontStream.The Software License Agreement (the “Agreement”) by and between FrontStream and the Association is enforceable and contains conspicuous language which states that FrontStream has an absolute legal right to change its services at any time by providing noticeYou may find the language in the Agreement provided to you enclosedIf you would like to see the new agreement, please go to http://www.frontstream.com/frontstream-crm-license-general-services-agreement/.F... will not honor the Association’s request regarding your objection to discontinue of the ServicesThe Association has been provided adequate notice of such changesThe notices that were provided to the Association and [redacted] are contained in Exhibits A and B attached to this letterAs a matter of fact, the Association has been given the option to upgrade the services and the Association is not required to continue using the services if it opts not to use the new module and pricingThe Association was provided with sufficient notice of the Pricing (found online at http://www.frontstream.com/crm/editions-pricing/) and was given the notice of its option to pay a yearly fee in the amount of $1080.FrontStream has an absolute legal right to change the services at any timeFrontStream has a right to “upgrade” its software versions and bringing the software up to date to keep up with current software models on the marketFrontStream has an absolute legal right to change its pricing at any time in order to keep up with the current marketBenefits of the new pricing include: unlimited telephone and email customer service (previously the Association had to pay a fee for support); all modules included in annual fee (previously the Association purchased individual modules, by purchasing the Events module for $on top of their $Desktop version of [redacted] )Additionally, upgraded versions include working with most up to date versions of [redacted] FrontStream has added functionality including integrations with all of our other productsThese benefits were also highlighted in the notifications.In order to export data, please have the Association must follow the below instructions:- Go to SmartLists > View and Manage SmartLists > in the “standard” category click the SmartList:All Donors and Affiliate DonorsAdd the columns that you need > then export the list (on left side);- Go to SmartLists > View and Manage SmartLists > in the “standard” category click the SmartList:All DonationsAdd the columns that you need > then export the list (on left side);- Additionally, you might want to export the following two reports as the data in the reports are notexported from the SmartLists:o Go to Reports > View Donor Reports > Donor Relationships o Go to Reports > View Donor Reports > Donor NotesWe are providing all pertinent information, correspondence, and documentation concerning the Services purchased by the Association and pricing therefor.Please do not hesitate to contact me at ###-###-#### or via email at [redacted] @frontstream.com should you have any questions.Sincerely,Carolina RGeneral Counsel
