I have reviewed the response made by the business in reference to complaint ID ***, and have determined that this does not resolve my complaint. For your reference, details of the offer I reviewed appear below
*** *** at Globes America know's what he is doingHe has no documentation of any purchase with InCorp relating to my company incorporation because none exists. The documents he has supplied in his defense are very faint, difficult to read scanned copies of documents, some that are upside down, that have nothing to do with a transaction from InCorpThis is just part of the web of lies and half-truths purported by him and his associatesI have proof of his fraud in the attached document
Globes America has also provided proof of their own misrepresentationIn the documents he provided on page it states in two instances that the $is to cover "state fees" with an "s" denoting more than one feeHowever, on page three (which is likely scanned very faintly on purpose) shows that only one "state fee" is paid for, the $State registration feeOn page 5, it says "Nevada State requires the entity to file in months additional filing and pay business license and initial list FEES which are $325." This is irrefutable proof of his deceptive advertising and misrepresentation.

Additionally, it is impossible to reach anyone by phone at Globes AmericaThe names of every representative contacted by electronic means has very generic names such as John Adams, David Campbell, Jane Clinton, and Jeff GreenOn Dec 17, 2013, I had an extended conversation with an online Globes America representative named Brad Benton where I pressed for more contact information about Globes AmericaAt one point I asked " Can I get in touch with Arik?"His response later on was "I don't know *** ***"I had only given this person *** first name but the person had responded using his first and last nameLater on, the representative confessed "I am India, in customer call center." It is likely that Globes America uses fictitious names to protect their identity of *** *** *** *** *** from the many unhappy customers whom they defraud on a daily basis.
Please give Globes America the lowest possible rating and warn people everywhere to avoid doing business with them at all costsI have much more information I can provide if necessary

We find the above mentioned claim to be unjustified and contain
misinformation.
[redacted] has ordered incorporation
service from Globes America Inc. and the service was fully rendered to him as
clearly evidenced by the documents provided by us.
Issue 1 - State fee:
[redacted] claims that Globes America Inc
is responsible to pay $325 state fee for his company’s initial list due to
Nevada.
We disagree with [redacted] and all
documents sent to him by us clearly show that we are not responsible for this
fee and that it is NOT included in the incorporation package [redacted] paid
for.
In his recent correspondence [redacted]
clearly states on that page three of the documents we have provided, shows that
only one "state fee" is paid for, the $75 State registration fee.
This is indeed the case, the incorporation package [redacted] paid for includes
the $75 state registration fee and not any other state fees.
Page 5 of the documents we have sent [redacted] informs him that the $325 fee for the initial
list is due with the applicable statement 90 days after the company
incorporation. This is an informational reminder that sent as a courtesy. [redacted] was clearly told that the $325 fee is NOT included in the incorporation
he paid for.
 
Issue 2 - Resident agent:
[redacted] claims that we have not assigned
resident agent for his company, a service that included in the incorporation
package he purchased.
We disagree with [redacted] and all
documents shows that we have delivered the service [redacted] has paid for.
Although the state corporation website
clearly shows the resident agent we assigned to his company, [redacted] keep
disregarding that information and continue claiming that it is not the case.
Attached a signed certificate by the agent confirming that it is the agent for
[redacted]’s company. The certificate dated 04/15/2014 and it is clearly
re-confirming that Incorp Services, Inc is the registered agent of MIND SPARK
PRESS LLC.
 
Conclusion –
Globes America Inc. has delivered in full
the service [redacted] paid for.
[redacted] systematically ignores all the
documents we have provided as they clearly show that his claim is false and has
no merits.
In his email, [redacted] is referencing a business
dispute from over 12 years ago, that involved [redacted] and completely
unrelated to Globes America, Inc. [redacted] is not an owner of Globes America,
Inc., he is not an officer or a manager of the company, therefore referencing a
legal dispute from over 12 years ago that has no connection to Globes America,
Inc. but to [redacted], has no impact on [redacted]’s claims what so ever.
We ask that [redacted] claim will be
removed as we have provided the service is full.

The client didn’t provide any reference from our website or guide
to show we have included or advertised that we have included the filing of the

argument is that he ‘understood’ this. However, the client is not showing where
on our website or during his chat with our reps we have stated anything to
support his argument.
The client has chatted with our reps on several occasions prior to
placing his order. During these chats it was clearly stated to him that the
fees above includes ONLY the incorporation service.

In Nevada State the entity must file within 3 months from the
incorporation date separate and additional filing which are not part of the
incorporation process:
Initial List
Business License.
 
These filing are NOT part of the incorporation process and are due
3 months AFTER the incorporation is completed. Therefore, the client had no
reason to believe that these filing / state fees are included in our
incorporation package.
 
A Breakdown of the fees will also show that the client had no
reason to understand that the fees include additional filing.
Our fees for the US Incorporation Package: $399
 
State Fees (for the formation of the LLC): $75 (+$100 24/hours our
expedite service).
 
This is the $574 the client has paid.
 
Based on his order and payment of $574 we have incorporated his
company in Nevada, paid the state fees and forward the client the state
certificate of organization.
 
Nevada State requires the entity to file in 3 months additional
filing and pay business license and initial list fees which are $325.
 
All service providers are charging additional fees of $100-$200 for
the filing service of the initial list and business license (not including the
state fees).
 
Therefore, total fees for the filing of initial list and business
license which are due 3 months after the incorporation are $475 (avg).
 
The client had no reason to believe that his payment for the
incorporation which contains $75 state fees will include additional non-related
filing with state fees of $325.

Other service providers are charging about $600 for the
incorporation package which we have charged $574. Please note that these
service providers do NOT include filing of the initial list and business
license in their $600 incorporation package.

Review: Hi, my name is [redacted] and I have been a victim of GlobesAmerica’s bait-and-switch scam for Incorporating an LLC in Nevada. Here is what happened.

Many companies offer services to help incorporate businesses in different states. GlobesAmerica is one of these. They offer 24 hour turnaround and “Lowest Rates on the Web Guaranteed”. For their US Incorporation package for Non US Residents, the package is $399 plus the state fee which is $175 for Nevada for a total of $575 which include the following services.

This price is competitive in the market and even a bit on the cheap side as advertized. Take note of the crux of the dispute bolded and highlighted in red where they say they pay the State Filing Fees. There are three fees paid to the state of Nevada totaling to $400 to incorporate an LLC.

Registration of Limited-Liability Partnership $75.00

Initial List of Managing Partners $125.00

Business License Fee $200.00

For the price of $574, the entire fees were reasonably expected to be included in the price as the package includes “Payment of State Filing Fees”. Please note it says “fees” and not “fee”. Most other companies for right around $600 had all of these fees included and match the services of this company. Nowhere in any communications or places on the website is it expressly stated that these fees in their entirety are NOT included, nor is there a delineation of these portions of the fees.

On Tuesday August 6th, 2013, I registered and account online and completed the registration process online with the company. I was issued a confirmation email that was immediately registered as spam by Google email filters.

The next day on Wednesday August 7th after contacting the company via chat on their website, I was directed to the spam box where I found the documents to complete the process. I completed these as requested and had a few emails back and forth to fill in information as needed.

On Monday August 12th, I received the confirmation of the LLC incorporation in the state of Nevada from GlobesAmerica which had been processed on August 8th. I was then at this point notified of the following:

Initial List State Fees: $125 ($100 late fees if paid after 09/30/2013)

I asked for clarification about these fees because it was my understanding that they were to be included in the $574 price that I paid. On the same day, this is the reply I received.

The incorporation package you have paid for includes the following:

US Incorporation Package $399

Nevada State Fees: $175

===========================

Total: $574

We have formed the LLC and paid the state fees.

However, in Nevada, you are required to file he initial list and pay business licence in addition to the state registration fees.

The business license fees are $325 (as we have stated and listed in the certificate issues by the state) .

This as you may understand is not included in the $175 registration fees you have paid.

I found this to be misleading and deceptive. After many back and forth emails on this matter, GlobesAmerica continued to hide behind the delineation that “fees” only pertained to the $75 state filing fee and that the remainder in $325 were state registration fees which are payable after the company is incorporated and therefore cannot be included in the package. The crux of the argument is spelled out in an excerpt of an email I’ll copy here.

In your earlier email you stated thus:

"We have NEVER indicated, listed anywhere, mentioned, promised or ‘made you believe’ that these fees include filing and paying for your initial list and / or business license. "

Yes you HAVE indicated, mentioned, and made me to believe that these fees are included. On your website and multiple times in your emails, you have said that the service I purchased includes "Payment of State Filing Fees". Please note that it says "Fees" with an 'S' and not "fee". Yet you have said you are only obligated to pay for one fee, the $75 state filing fee. If your only intention was to pay for one fee, it should have said "fee". Two documents still need to be filed with the state that incur additional fees. These are state fees that are a result of filing documents to incorporate this business. Your advertising and communications have implicitly promised that these FEES would be paid for.

When I clicked on the purchase order for the company, again it said that the package I was buying was covering state processing fees. You made an offer of services, I offered monetary compensation in return, and you accepted my payment which constitutes a legally binding contract between myself and your company. You have offered to pay for more than one fee pertaining to the incorporation of my business to the state of Nevada. If you only pay for only one fee, you will have breached your contract and I have the legal right to sue you in court for due compensation. Nowhere in any communications is it stated that these fees are not included in the package, therefore it can reasonably be understood that theyare included in the package since more than one fee is to be covered. I am sure any judge will side with this logic on its own merits and considering there are countless precedents of similar cases ruled in favor the plaintiff.

I demanded a refund of my payment. GlobesAmerica continued to reiterate it’s position on the matter which was the same as before, denied any wrong doing, and refused to refund any money. I decided that this was unacceptable and I began researching the company on the internet. I have found a pandoras box of information on this company. They have gone to great lengths to conceal their identity but I have been successful in piercing the vale behind this company.

Facts and Assumptions

• Very likely owned by Arik Rozen who has a CPA license.

• Taxetreasure.com is registered under the name Tal Rozen and provides an address and phone number. Upon review, it is my believe that Tal Rozen is the wife of [redacted] and the address is their personal home address where they have at least one boy and one girl.

• [redacted] is Israeli-American and likely speaks Hebrew

• In Oct 2005, [redacted] was found guilty of misrepresentation to induce a person to sell their business to him and was ordered to pay $368,760 in damages. [redacted] • GlobesAmerica Started in April of 2006

• They operate two other URLs: taxtreasure.com and tax-usa.net

• Of their three office locations, it is likely that the only US location with people or employees is in Fairfax, VA.

• Nobody answers the phone numbers listed on the company website.

• The online support people are available most hours of the day but they will not take a phone call or give you a number different from the one listed on the website. They admit online that they are not in the same place as the office in VA. I believe that these online support people are either in Israel or India.

• On their social media pages, many of their followers are Indian which leads me to believe that they have support people in India who only handle issues online and will not take calls because then it will be apparent that they are Indian and customers would then question the legitimacy of this company.

• After receiving my company incorporation documents, I saw that INCORP was listed as the Registered Agent (by law, you must have a registered agent in the state if you do not have a physical presence there) . I figured they must outsource this. I contacted INCORP and they had no record of Mind Spark Press LLC being set up through them as a registered agent. It is apparent that GlobesAmerica illegally took the address of INCORP’s registered agent address in Nevada and used that to fill out the documents and then charged me for it without paying INCORP any fees.

• There are other people who have posted online their negative experiences with GlobesAmerica who felt that they too were scammed. [redacted] r.

• GlobesAmerica is offering services to help people living outside of America set up US bank accounts for personal and business use. It is my suspect that they are using CitiBank. There are strict regulations imposed by the US Patriot act pertaining to this matter. Based on my experience and what I have been able to learn about the company, it may be possible that GlobesAmerica may not be in full compliance with the law.

• It appears that GlobesAmerica is assisting in Credit Card scammers per this complaint issued:

All of the information pertaining to this an more can be found in the document below. I have since disputed the transaction with my bank and they are attempting to issue a chargeback of $266. GlobesAmerica said they will refund $150 and not complete the EIN process. On August 15th, 2013, I demanded $250 and received no reply.

My bank issued a chargeback of $266 however Globes America disputed and innudated the bank with 80 pages of meaningless copies of their webpage while masking the content of our communications that support my case. I was stationed out of the country so I did not see the thick packet that Globes America used to dispute this claim until the time was too late. They operate in the gray area of business that, while would be hard to convict in court, is certainly dishonest and unethical. Desired Settlement: I want my money back but that will probably never happen. I want everyone to know what a dishonest company these guys are.
