Good morning, This customer engaged with BizFilings a number of years ago to register an LLC and act as the Registered Agent & DOS Process agent in NY. To date, BizFilings is still listed as the Registered Agent with NY, meaning our services are still being rendered. I will
follow up with the customer directly to discuss our service and determine next steps to cancel, if that's what they ultimately decide to do

Ms*** is our primary contact for the company listed with the California Secretary of State as Inspire Consulting LLC. As we have explained to Ms***, the company remains in the status of "active" with the California Secretary of State, and Business Filings Incorporated is listed as the
Registered Agent. Registered Agent is a service that we charge an annual fee for, and Ms*** has paid this fee in the past. The fact that she is no longer conducting business with this entity does not mean that the status of the LLC changes with the State of California, or with Business Filings Incorporated. In order to truly close the company, an additional filing is required with the California Secretary of State, and this has been explained in writing to Ms***.The Revdex.com complaint that has been filed suggests that Ms*** is not interested in completing the filing to shut down the business. As Registered Agent, Business Filings Incorporated is still required to conduct our job, though. The only option for us at this time will be to resign as Agent. We will move forward with that filing at this time. This will not officially "close down" the business, but it will mean that we will no longer attempt to collect our annual fee from Inspire Consulting LLC. Customer was quoted 3-business days for typical processing time on this non-expedited order However, the company name was changed twice following the order being placed, which caused the processing time to restart with each change We also had a question regarding the communications
contact on the order which required a response from the customer The new timeframe was communicated to the customer on 11/ Therefore, this order was fulfilled within our expected timeframe.Since we didn't meet the customer's expectations, I agreed to issue a $refund However, our timeframes are only approximations, and cannot be guaranteed The only guarantees we can provide on timeframes would be for rush filing services, which was not requested in this case

Good afternoon,Thank you for bringing this matter to our attention. I have reviewed the details on this account, including the notes left following the calls made to our Customer Service Team. It is clear to me there was some confusion on the part our representative in response
to the most recent request to cancel this account. As a result I have cancelled the account in question and will also follow up with the customer to discuss in further detail. We will also treat this situation as a training opportunity for our team member

Good morning, The account referenced in the original compliant has been cancelled as of today In my review of this account it appears there was some confusion regarding the requirement of the registered agent, and the steps needed to cancel, and for that I apologize. BizFilings was
named as the registered agent at the time of filing on 11/7/ I also show a Statement of Information was filed on 2/10/directly with CA (not by BizFilings) which continued to name BizFilings as the agent This document was signed by Justin M**, indicating the information on the document was accurate. As indicated to the customer on 7/via email, in order to cancel the account we would need confirmation that a new registered agent was listed with CA Otherwise, we would continue to receive potential service of process or state mail, and therefore expect payment since the service is being utilized I show a Statement of Information was filed on 11/14/16, which lists Karl-H*** L*** as the agent Having seen that documentation, I have cancelled the account as we can verified we are no longer acting as the registered agent.At this time, the account has been cancelled, and nothing further is owed to BizFilings

I will change my registered agent address. You do not need a registered agent service in New York State but this company is insisting otherwise, I feel like I am being extorted. These tactics are unethical. They can and should resign as my registered agent

Good morning- BizFilings has initiated the process to resign as the DOS Process Agent for this company which will terminate the service the customer has requested from us.  Note- the customers comment regarding not needing a registered agent in NY is correct.  However, we were not listed as the company's registered agent.  We were listed as the DOS Process agent, which is a different state requirement.  It seems there was still some confusion regarding that, which I will follow up directly with our customer to clarify.

Good morning, The Complete package that was ordered had the EIN Obtainement Service already included at a discounted and bundled price.  Customers would have the option to select a lesser package, and add-on all items expect for the EIN, but the final price would be more than the Complete...

package. As a goodwill gesture, I'm refunding the stand-alone price of the EIN service, which is $79.

I fully understand the frustration that this customer has regarding the additional fees he may be required to pay due to missing a filing deadline in the county he is looking to operate in.  It is a filing separate from what he asked us to complete, but the filing we were handling was a...

required piece of this additional filing.  However, the details provided throughout his complaint are simply not accurate.  This customer placed an order just before 4pm PST on August 18th.  He states he was emailed documents for his signature "a week after I hired them".  The fact of the matter is that he was emailed at 9am PST on August 19th.  That was not a week, but instead about 4 business hours after placing his expedited order.  And while I understand as well that not everyone relies on email, there was a detailed conversation about emailing during his initial phone call on August 18th.  In fact, on three occasions our customer service representative mentioned that we would utilize email, and this customer not only provided his email address, but also verified it for our representative late in the call.  He then stayed on the call and awaited an email from us.  In that email, we also explain our filing process - which includes the fact that filings requiring a signature may be sent via email.  We had no reason to believe that email was not an acceptable form of communication.  In fact, this customer even stated on the initial phone call with our representative that, "The LegalZoom guy keeps sending me emails." The statement that we "assured" him that the filing would be completed in time if he paid extra for expediting is also not accurate.  No assurances were made.  Upon calling and speaking with a supervisor, this gentleman states that we said there was nothing we could do besides refund his money.  That is not the case.  One of my supervisors offered to refund all expedited fees and personally oversee the filing - once he returned the signed documents to us.  He declined the offer. Also during that call, this customer acknowledged that he had received our emails, but that he gets many  emails and he didn't see it.  The details I have shared are factual, as we record inbound phone calls for training purposes, and I was able to listen in full to both his first call during which he placed his order, and the call made to lodge his complaint.  As of September 8th, this order has been cancelled and the money paid to BizFilings has been completely refunded.  As I stated earlier, I can understand why this gentleman is frustrated by the overall experience he has had with getting his business fully compliant with all county and state requirements.  But given the facts, to suggest that BizFilings should be financially responsible for any of the late fees and/or penalties he owes is not a fair or reasonable request in my opinion.   Sincerely,[redacted]Director of Service OperationsBizFilings
