I have checked with my tax expert who has done many, many incorporations She has reviewed the [redacted] web site as well as my documentation The date that the [redacted] initially received the filing was September 22, THAT IS THE DATE THE [redacted] RECOGNIZES THE NEW CORPORATION Therefore, once it is finally approved, that is the effective date I have done what I was requested to do; it was timely filed well before the end of the year Mr [redacted] needs to check with his tax expert and confirm this information Therefore, I will not be refunding any of the deposit I have written off the balance due If Mr [redacted] incorrectly decides not to go through with the conversion, he just doesn't have to file anything or do anything with it It's as simple as that I suggest he speak with counsel on this, as I am not an attorney and I cannot give legal advice Also, he needs to understand that if he continues on his tirade and determination to "ruin my reputation," he had better cease and desist or I will consult an attorney regarding defamation of my character, libel and slander I suggest he give this his careful consideration

The client has the "facts" incorrect I made a special appointment for her that Friday morning so that we could get her paperwork signed My office hours are from 10:am until 5:pm I scheduled her the 9:am appointment time to accommodate HER schedule It was a hardship for me to come in at that time, as I was leaving for a family reunion that day When I arrived early at the office only to find her message stating ....that "I just don't want to feel rushed.....", of course I was upset I had to rush to accommodate her, only to find a message she left AFTER HOURS, knowing full well I wouldn't receive the message until after our appointment time So yes, I was upset My message was NOT RUDE, it was assertive but professional The paperwork was then and is now completed THERE IS NO REFUND If should would like to finish the paperwork, I have no problem with that I will be happy to finish up with her I also left in my message the fact that I was going on a 10-day vacation the following weekend, and would not be able to complete the paperwork for her until after then I just barely returned yesterday morning I have not yet had a chance to contact her to complete it, nor has she contacted me.I am a professional first, last and always My message was not rude, but I was upset and told her so She just doesn't want to have to face me If she wants to finish up, fine If not with me, I will mail her the documents I have created to her[redacted] * [redacted]

As you can see by the [redacted] rejection attachment Jerry was not capable of completing the conversion filing in a timely mannerI discussed the timeline with her in early Sept and she agreed we would have no problem completing the filing by early - mid NovHer inability to file the forms correctly resulted in delays that left us no time to complete the additional work on my side by year endIt's obvious she did not have the knowledge to complete the form correctly on the agreed scheduleI'm requesting a full refund of $as I also have to forfeit the $fees paid to the *** I do not understand why I should pay her for work she failed to complete correctly in a timely mannerHer license should be suspended until she is retrained on how to complete the forms correctlyHer work is sloppy and she is unprofessionalWho would charge their clients for their failed work? She left me in position where I have to hire a competent paralegal to clean up her mess

Mr *** originally came in 5/4/17, for LLC documentsAll went smoothly, he was pleased, returning 9/18/to convert to an INC. My fee is $400, he paid a $deposit, preparing the documents on-the-spot. He reviewed ALL documents at my request not noticing any errorsThe documents
were mailed with the $conversion fee. I missed the additional INC fee not realizing there were feesThat info is very small and easily missedHe paid the additional feeNote: when *** reviews documents they stop at an error; not reviewing the entire documentThey found small typos rejecting same. *** is literal; there can be no typo’s no matter how smallI corrected & faxed the paperwork hoping to speed the processMr*** emailed me for status 11/27, I checked the web site and called ***I reported it was still “pending,” on 11/28. One week later 12/he emailed stating he wanted to “cancel the conversion” because “it was getting too late in the year.” I said he'd lose the fees, his deposit, & time invested. I suggested he wait believing *** would accept the conversion by 12/31. On 12/his stated he was “out of time to make the required changes and have moved forward using the LLC name for 2018.” He wanted to cancel and asked for a refund claiming the delays were due to my errors. I said I was sorry he felt that way and reminded him he refused to expedite. I'm happy to correct errors without charge which I did. The tone of his email and demand for refund prompted me to discontinue. I wrote off the balance and directed him to look elsewhere to finish up. He accuses me of working for money (not my clients) and wants me to work at no charge. I love what I do but cannot work for free. Surely he doesn’t work for free eitherIt's unfortunate, but with a little patience I believe the conversion could've been done by year end
