independent contractors via a license agreement. The license agreement, as opposed toa franchise agreement, allows each dealer to operate their business as they see fit. K-Guard, LLC doesthorough background checks on all of our dealers to make sure that they are accredited contractors andbusinesses and tax paying entities. Mr. Baregi has a contract with K-Guard licensee All-Exteriors, LLCand not K-Guard, LLC.The K-Guard gutter system is a patented system consisting of a gutter trough and hood. The poppingthat Mr. Baregi is describing can occur because of thermal expansion in the aluminum or fascia board (KGuard,LLC does not supply the aluminum or fascia boards). In certain environments and seasons wherethe temperature fluctuates dramatically, the alumlnum or fascia boards can "pop" every so often. Thisis due to the expansion and contraction of the aluminum and fascia board. Humidity plays a part in thisas well, however it is most common in the spring and summer. Mr. Baregi lives in an environmentwhere it is common to have significant temperature swings.Cedar fascia board is known to expand and contract more so than other types of fascia board: Mr.Baregi mentioned to me in an email on 6/28/16 that his fascia board was cedar (see attached emaildated 6/28/16). I also sent Mr. Baregi a reference table depicting rates of thermal expansion which he inturn decided that these facts I referenced were "excrement" (see attached emails dated 7/27/16-pages 1 and 2, line 1).Over 31 million feet of gutter has been hanged across the country since 1998 and this complaint hasnever been an outstanding issue for other K-Guard customers. All-Exteriors has been more thanaccommodating to Mr. Baregi. They have replaced the hood of the gutter system and they have beenout to check on the gutters multiple times. We apologize that Mr. Baregi is not satisfied with how thegutters perform from an audible standpoint. The gutters are functioning as they should, they aredraining properly and the system is not clogged.Best Regards,Justin SeymourK-Guard, LLCOperations Manager

I am rejecting this response because: I don't live in a climate of dramatic temp fluctuations as Mr Seymour indicates. If aluminum gutters and cedar boards are the cause of my noises them I wonder why I didn't experience such noise with my original aluminum gutters and cedar boards. The noise only began when the KGuard gutters were installed. The fact that Mr Seymour indicates aluminum gutters make cracking and popping noise, yet he originally thought I had some kind of animal in my gutters, and the installer, All Exteriors indicated they had never heard this noise, indicates to me something is wrong. You can't have it both ways, "this is a common noise for aluminum gutters", and "we have never heard this noise before". That argument is conflicting. There is something wrong with my gutters and neither KGurad nor All Exteriors out of Wisconsin is willing to admit it. You can't also tell me in May 2016 that you have never heard this noise, and then in August tell me both owners of All Exteriors have the same noise. Once again these statements are in conflict with each other. They leave me no choice but to take them to court.
Regards,
Ronald Baregi
