This company’s made oral agreement with contract signed by myself, turned around to and renegotiated a lower price which then was agreed upon with same delivery date for payment of 60 days from original agreement. Now company is past 80 days and also does not want to produce payment check for agreement. Called contact person to have both original contracts voided by this company and returned to all family members involved with this agreement. Also told contact person I will be notifying Revdex.com for twice backing out of oral contract and signed contracts by myself and other family members.

For reference, *** et al are the "Grantors" in the subject agreement and Keystone Buckeye Energy, LLC is the "Grantee". Please refer to Article 1 under "Terms" in the attached option agreement signed by *** et al where it is explicitly stated: "It is understood and acknowledged by Grantor that the rights hereby granted are an option and Grantee shall have no duty or obligation whatsoever to exercise said option."

With the closure of Courthouses across the Commonwealth of Pennsylvania due to Covid-19, Keystone Buckeye Energy, LLC has been unable to complete necessary work to confirm oil and gas ownership via title searches of the records contained in these courthouses. Couple that with the dire economic state due to the impact of Covid-19, we very apologetically alerted *** we would be unable to proceed at this time. Additionally, we are well within the purchase period, as the contract has yet to expire.

As Keystone Buckeye Energy, LLC was not and is not contractually obligated to fulfill any written or perceived oral agreements, we strongly feel this complaint should be redacted and expunged from our record with the Revdex.com.

1. The contact person had to be called to get the information that this company did not want to proceed with options.

2. My cousin *** timeframe was 90 days from Feb 26th til May 26th, that I called to find out results

3. contact kept saying 60 days even though it said 90 days in ootion

4. contact person said everything looked good through the courthouse, so I don’t know where the company said it wasn’t able to complete the courthouse portion

I trust there is a general understanding that we were in the midst of one of the worst pandemics in modern history during the timeframe of the subject option contract. Keystone Buckeye Energy (Hereinafter "KBE") like most businesses, was not permitted by law to work out of our office, everyone was working remotely. During this same time frame, the courthouse in Washington County was closed to the general public, this can be confirmed with a simple call to the Washington County Recorder's office, and probate division. Countless people lost their businesses during this time, this cannot be discounted nor ignored.

1. Speaking in terms of a "contact person", I'm not aware of who this is, nor am I aware of the contents of this conversation. Our company is comprised of 3 managing partners, anyone else operating under the KBE umbrella is a non-employee general contractor. Even though our contract doesn't require or bind KBE to purchase any portion of the subject property (As referenced directly in the last complaint response), we still make every attempt to fund each and every transaction, even under the most extraordinary circumstances like we experienced with the Covid-19 pandemic. We were continuing to do so as there is plenty of time left on the agreement.

2. Attached is Jamie's option agreement, executed and signed on April 11, 2020, and not due to expire until Tuesday August 18, 2020 (90 Business Days).

3. Again, I don't know who the contact being referenced is, nor am I privy to details of any conversation. As referenced in Article 13 of the attached Oil and Gas Purchase Option Agreement titled "Modifications": "This Agreement shall only be modified or amended in writing, signed by both Grantee and Grantor. In no event shall any verbal or oral agreements or modifications with respect to the terms and conditions of this agreement be valid or enforceable." KBE puts everything in writing for this very reason, in an attempt to avoid any confusion as to the terms.

1. Agreement was new contract price that was signed with agreement from original date. Sad that this company uses this to their benefit with a contact person saying one thing and going by another set of details. I would of rather this company just say we can not follow through due to this virus and hard times. One person says not thing, company follows another. Just sad business practice to put all risk on grantor, actual pathetic business. I would not recommend anyone to deal with company.
