In December of my company [redacted] purchased the assets of Midwest Weight Control INC We did NOT purchase any liabilities, contracts or agreements [redacted] entered into an agreement with Midwest Weight Control INC in early december Subsequent to the completion of the asset purchase, I agreed to provide [redacted] with certain weight loss products and services based on my receiving a discount of $in the purchase price of the assets This amount was entered on our books as a credit for her [redacted] then used this "credit" (we received NONE of the cash for this program) for her entire initial weight loss aggressive phase including the medical meal replacements The result of this plan was that she lost a SIGNIFICANT AMOUNT OF WEIGHT (LBS) All Invoices detailing ALL of the medical meal replacements that she purchased or received are attached As are documentations for the initial $creditWe then provided [redacted] with appointments of varying types during the next two phases of her plan These services were ALL PROVIDED FOR FREE.Additional FREE services provided are Body Composition analysis procedures with all relevant metabolic details.A FREE detailed vegan diet plan for weekWith daily details AND recipes additional meal plans are also attachedThe free VEGAN diet with specific food choices for [redacted] was the only time we provided this product to a client It's retail value is approximately $of Registered Dietitian time (researching food allergies etc...) All told we provided well over $1,in free services to Ms *** We believe this is why no refund is due

Their statement "Ms [redacted] was encouraged to take all the remaining products or they would be forfeited as per the contract signedMs [redacted] refused to take all of the products available to her" is completely untrueI was never "encouraged" to take the remaining products, nor was I told that it would be forfeitedWhy would anyone forfeit $worth of product? If that was the case, I would have taken itAs it was, they "encouraged" us to try some different products which we did The Midwest Weight Loss clinic never followed up with me when the "Financial Manager" decided to forfeit my productsThey never had any further communication to tell me the products would be forfeitedNow they claim that the business was sold, yet when I called just prior to this complaint, I was dealing with ***, the same person we originally saw in I believe they intentionally did not follow up or highlight the fact that I was forfeiting the product because it was profit to themAnother inaccuracy is that it was months later that I contacted them, not years as statedAs I stated before, during that time, my daughter was trying various other weight loss methods since she was not successful with the Midwest Weight Loss clinicUnfortunately, all dollars had to be paid upfront to start the Midwest Weight Loss programThere is no reason that should preclude my ability to apply monies given to Midwest Weight Loss clinicI am entitled to some value for my investment, and it is their own fault they closed there fiscal books without following upAnother sign of their faulty business practices

We did not buy any contracts, liabilities or other obligations....legally or otherwise as this was a strict ASSET PURCHASE from a legal perspective As I stated...I was given...the $dollars in CREDITS TO PROVIDE food...for Ms ***I wanted to satisfy Ms [redacted] and so provided all of the other appointments.All of the other appointments..NOTE appointments were provide by [redacted] without compensation to [redacted] ( That is what is meant by Free.)The appointments, all of the body compositions...the behavior and nutritional appointments are ALL documented completely I don't understand how it can be claimed that we did not provide services? We provided full weight loss services for all three phases...the first phase was all of the food products the second phase was a week transition set of appointments..and the last phase was all of the other behavioral, weigh-ins etc[redacted] spent well over $dollars and I documented that in our attachments To satisfy this claim I am willing to offer $to the client Regards Tom ***

We are a specialized clinic, under the direction and guidance of our Medical Director, offering comprehensive, medically supervised weight loss programs.
It's also important to note that the clinic is under new ownership as of December 2014. Ms. [redacted]'s complaint refers to a transaction in June of 2013. Also relevant is the fact that Ms. [redacted] was not our client. Her daughter, then age 18, was our client and signed all the relevant paperwork. Ms. [redacted] was present in the room throughout the process.
As Ms. [redacted] claims, her daughter did not return to our program after two visits. She was last seen in our clinic on 6/27/13. Ms. [redacted] stopped in herself on 7/3/13 and picked up some of the meal replacement products that were included as part of her daughter's weight loss program. At that time, Ms. [redacted] was encouraged to take all the remaining products or they would be forfeited as per the contract signed. Ms. [redacted] refused to take all of the products available to her.
On 9/23/13 our financial manager forfeited the meal replacement products not claimed by our client. The document signed by our client reads "All services and foods must be redeemed within 10 weeks from the date this program begins. I understand any remaining foods or services will be forfeited after this time."
We did not hear from Ms. [redacted] again until March 2015, almost 2 years later. The clinic is under new ownership. The accounting has long since been reconciled. It's unfortunate that Ms. [redacted] did not choose to resolve this when given the opportunity presented in July of 2013.

Why would anyone forfeit $900 worth of product? If that was the case, I would have taken it. As it was, they "encouraged" us to try some different products which we did.
The Midwest Weight Loss clinic never followed up with me when the "Financial Manager" decided to forfeit my products. They never had any further communication to tell me the products would be forfeited. Now they claim that the business was sold, yet when I called just prior to this complaint, I was dealing with [redacted], the same person we originally saw in 2013.

completion of the asset purchase, I agreed to provide [redacted] with certain weight loss products and services based on my receiving a discount of $1029 in the purchase price of the assets.  This amount was entered on our books as a credit for her.  [redacted] then used this "credit" (we received NONE of the cash for this program)  for her entire initial weight loss aggressive phase including the medical meal replacements.  The result of this plan was that she lost a SIGNIFICANT AMOUNT OF WEIGHT (23 LBS)   All Invoices detailing ALL of the medical meal replacements that she purchased or received are attached.  As are documentations for the initial $1029 credit. We then provided [redacted] with 77 appointments of varying types during the next two phases of her plan.  These services were ALL PROVIDED FOR FREE.Additional FREE services provided are 6 Body Composition analysis procedures with all relevant metabolic details.A FREE detailed vegan diet plan for 1 week. With daily details AND recipes.  4 additional meal plans are also attached. The free VEGAN diet with specific food choices for [redacted] was the only time we provided this product to a client.  It's retail value is approximately $300 of Registered Dietitian time.  (researching food allergies etc...)   All told we provided well over $1,000 in free services to Ms [redacted].  We believe this is why no refund is due.
