Yes we do have record of this email conversation and this is the tail end of several back and forth emails wherein Mr*** advised he was in no way related to the entity or responsible for the entity and had no intention of paying for anything related to the entity$would have covered the preparation and filing of the resignation but not the past due invoices, which at the time of this communication was $We could, in good faith, accept the balance as of this email of $if Mr*** is willing to do soOtherwise, unfortunately for an account which already has years of unpaid invoices, we will need to let our third party firm handle the detailsWe hate to do that but at this juncture we have no other recourse

I am rejecting this response because: As I have repeatedly stated, I am not laying for services I cancelled for years. I offered $200 to close this, if that's rejected, I'll also deal with their third party firm. This is a fraudulent charge, MyLLC knows it, and their insistence on sticking to an outrageous number proves no good faith in trying to close this, but instead to simply attempt to milk every cent they can get. They're clearly not worried about how they are perceived by customers or former customers, nor about even attempting to be fair. I'm incredibly disappointed in the company.

I am rejecting this response because:A registered agent can resign as RA from any corporation by notifying the company at any time, then notifying the SOS of the state of **. The RA does not have a legal obligation to remain the RA when payment isn't made, as was the case here. Should the RA resign and be unavailable for service, the penalties fall upon the corporation's officers, not the RA. MyLLC know this is true, as on 2/19/15, Stacy P[redacted] stated in an email to me: "We can file a agent resignation which will remove our services however t he past due invoices will need to be paid as well." That was two and a half years ago. This is nothing but an attempt to rack up a huge bill, and as I have told them for years, I won't stand for it. I made an offer years ago to pay one year's invoice, $99, to just end the arguing, but they never responded.Once the corporation was dissolved and the invoices went unpaid for a year or two, a rational and ethical company would have withdrawn as RA and sent the one or two invoices to collections and moved on. MyLLC stayed on as the RA for a dissolved company solely for the opportunity to attempt to continue billing for services they were informed we not requested, needed, user, nor likely to be used. They knowingly billed for services they knew they were not providing, and that they knew they did not need to be legally culpable for.My final offer is $99 to make this go away, and even with that offer I do not state that I have any obligation, I simply want MyLLC to go away.

If Mr. [redacted] has a record of his offer to Ms. P[redacted] I would be happy to review it. I ran a detailed search of her emails and could not locate the offer mentioned.

We appreciate the opportunity to address our client’s concerns. Mr. [redacted] has a business called [redacted] in ** that has a filing status of Administratively Dissolved. This means that, per [redacted] code 14-11-603: (3) A limited liability company administratively...

dissolved continues its existence but may not carry on any business except that necessary to wind up and liquidate its business and affairs. Winding up the business of a limited liability company administratively dissolved may include, without limitation, the limited liability company proceeding, at any time after the effective date of the administrative dissolution, in accordance with Code Sections 14-11-607 and 14-11-608. The administrative dissolution of a limited liability company does not terminate the authority of its registered agent.As we have explained over the years to Mr. [redacted], we are legally compelled to represent his entity as long as we are providing Registered Agent Service to his entity. He will need to change the agent to cancel the service. We send a letter with each invoice advising our clients of the filing requirements to cancel service if they so choose. A copy of the letter has been uploaded. Mr. [redacted] has seven unpaid invoices and has received the cancellation outline at least seven times in the mail. He has also discussed his account at length with several of our representatives over the years, who explained the cancellation policy to him. Eventually we had no other recourse but to send his account to an outside collection agency. We are happy to work with him if he would like to call our office but the Registered Agent Service does need to be cancelled to halt future invoicing. Thank you.

Since providing Registered Agent Service compels us legally to be available on behalf of the business entities we represent, we must be removed from the public record before we can close out accounts. We understand that the cancellation policy can be confusing for clients and have taken several...

measures to help ease the process. In addition to explicitly outlining the requirements for cancellation in the Terms of Service, which all customers much sign and agree to before opening their accounts, we send a detailed letter which each invoice advising clients to contact us right away if they do not wish to renew their service. The letter also outlines the same three ways to cancel that are listed in the Terms. We don't have a record of a call from Mr. [redacted] last year but had he called in we would have gone over these same options. Attached is a copy of the public record showing Mr. [redacted] business continues to list [redacted] (our Registered Agent Service provider). Also attached is the electronically signed Terms of Use and a copy of the letter he received with his last invoice.We would be happy to prepare and file the resignation for Mr. [redacted], at no charge, if he would like to contact us to resolve his past due balance.

Mr. [redacted] is correct that a registered agent can resign from any company it chooses but as we have advised him repeatedly over the last 7 years, we do have an administrative fee to prepare and file state paperwork. We have also advised him that he could prepare and file his own resignation any time for free since there is no state filing fee to resign in **.The email exchange Mr [redacted] is referring to took place on 4/15/15. Stacy P[redacted] did indeed advise him that we could file the resignation and let him know that the fee to do so would be $99. The current balance on this account is $998. After waiving all collection costs and late fees, the remaining balance is $693 which we would accept as settlement on the account and include resignation service to close it out permanently.

We appreciate the opportunity to respond to this complaint. Each year when renewals for registered agent service are due, we send our clients a detailed letter explaining how to cancel their service. Cancelling registered agent service generally requires, at a minimum, filing a registered agent...

Based on the number of open invoices on his account, Mr. [redacted] has received this letter at least 6 times over the years. It does appear that he spoke with one of our representatives back in 2010 and said he would change the agent to himself. The address Mr. [redacted] provided in his complaint matches the address we have on file and we don't have any record of returned mail. Representatives have attempted to call him several times over the years without success. Unfortunately, the account had gotten to the point where we felt we had no other recourse but to send it to collections. We are certainly willing to work with him but we do need him to cancel his service with the state. As you can see on the ** Secretary of State public record, his business [redacted] is Active and in Good Standing and the registered agent we provide to his company ([redacted], Inc.) is still listed: [redacted]. Currently, no reporting has taken place on Mr. [redacted]'s credit. We would be happy to explore settlement options with him if he will cancel his service. Thank you!

Heartless ss who did absolutely nothing for me but apparently provide me false information and then try to charge me for it...and then turned me into collections in the middle of my trying to patiently work through some bit of misunderstanding with them.

I used myllc to file my LLC paperwork. The were by default my registered agent for the first year since they provided me that service for free and I didn't totally understand who else I could assign as my agent when I first signed up. So what they do is give you the first year for free, but then after the first year, they auto-renew themselves as your agent at the cost of $100 for the full year. I received the bill for the $100 before it was due and before the auto-renew would go into affect. The bill was due in December...I called Myllc in November and told them I was changing agents and asked what I needed to do to not be responsible for paying the auto-renew bill. I was told at that time by a myllc agent, that I just needed to change my agent with the state. They made it seem like it was no big deal. They did not tell me a date that this had to be done by or that they required anything from me in order to make it official.

I immediately called the state because my annual report was coming due, and I wasn't sure what was required of me. Additionally my house had just burned down and my life was thrown into a blender, so these things were difficult to cut time out of my now abundantly more chaotic schedule to locate documents (that were likely destroyed in the fire) or to otherwise deal with, and I thought I might be late filing the annual report. The state had told me that being late to file was no big deal at all and there were no consequences if I did not file...unless it had been like 3 years since I filed and then they might decide to not honor my llc status...none the less they also made it seem like it was no big deal.

Apparently myllc was still sending me invoices which I was not getting in a timely manner, because I was essentially now homeless and still did not have a place to receive mail. I then called in last month to find out what was going on, when I had an opportunity to catch up from the chaos and calamity that comes along with losing your house, office, and most of your life really. Myllc was very dismissive of any claim I had or any responsibility they had for the incomplete information they provided me. Mind you, they performed absolutely no service during this time but they now wanted an extra $30 on top of the $100 they were trying to bill me for.

Furthermore, they had absolutely zero understanding or compassion for the circumstance I was thrown into when my house devastatingly burned down and I lost most of my possessions including droves of important paperwork, which minus the immense inconvenience something like this causes in your life, it has cost me 10's of thousands of dollars and is approaching the 6 figure mark. They never even said anything like, "we're sorry to hear about the fire...hope you get back on your feet, etc"...or anyting of the sort that every other person with any bit of heart, compassion, or human blood pumping through their veins has offered to me. ..what they did instead is what heartless, soulless, money grubbing ss corporations do...they turned me into collections...while I was still in talks with myllc, trying to work with them towards an acceptable resolution (they were waiting for some paperwork they requested from me). I then tried to work with the collections agency they turned me into, and even offered to pay a portion of the bill but they flat out refused my offer and demanded the $100 plus $30 late fee.

Wait, what? a 33% late fee?! for being about a month late paying for a service they never even performed a single duty for?! When have you ever heard of a late fee this high before? Are they a credit card company that is floating me a loan?...no, their fees are cheaper! Are they mafia loan sharks? ...no, their fees are cheaper! ...no, they are just a company who had their name listed on a piece of paper for a month while they performed absolutely zero service for me.

Don't do business with these people! They have no soul or connection to human experiences. There's a million of these places out there...find one with actual warm blooded human beings, who are capable of processing rational, reasonable thoughts...and maybe even have feelings and compassion.

The fight is not over, myllc. I will be posting this review everywhere I can find, including social media...and just so you know I work in marketing and have a pretty good reach and uderstanding of how to get the word out. You will lose more customers than it is worth. I will also fight this with the credit bureaus and will also possibly be contacting the Revdex.com, attorney general (is that late fee even legal?) and maybe even my friends down at the news stations.

The team has be patient and helpful. Heather P. has been very patient getting response to my list of questions.

This is the only way to go for a great, responsive and friendly Registered Agent Service. Thank you very much to MyLLC for making the process easy. Easy and affordable makes them the simple choice.

We talked what was asked on my prior email to Jennifer line by line which was not short. Diane patiently explained at her best what I was asking and more. She was not only knowledgeable but so willing to help me and more. During our conversation, she never asked me if I was ready to have her company to handle my forming LLC. It was so refreshing to have this kind of service that I asked Diane where I can leave review. The homepage did not have the link and she emailed me few of links to write my review.

Before I talked to Diane, I emailed the same question to well-known other LLC service sites but they either did not replied me or when they returned calls, I did not get good service from them.

My situation is bit different and CA is not easy state for LLC, so I might end up with other company near me, but all my future LLC will be handled by myllc.com and I highly recommend anyone to give them a call and discover on its own. Review: I had paid for MyLLC.com's services for 2 years. I chose not to renew my services with them in November. Now I am getting a collections bill for $139. I called to dispute it and they are saying that well the state is showing that they are listed as the agent on my llc(which is not being ran) and so I owe that money. They aren't providing me any services and that explanation doesn't hold water. That's the most crooked thing ever if they are trying to charge me when I did not renew their services. I had signed up for 1 of service each of the 2 years. Now I am getting extorted.Desired Settlement: They need to cancel this debt for services they aren't providing.

Review: On January 1st 2014, I went online to (MyLLC.com) and inquired creating a new Limited Liability Company in Los Angeles, CA. I spoke to a [redacted]oom a few months prior to going online and was told that it would cost $99 to create my new LLC, and another $99 for maintenance of the LLC. When I went online to MyLLC.com I filled out the form to get my LLC it gave me a quote of $262 which I didn't agree to. I wasn't able to "Cancel" my order or was unable to do it online. I called on 1/2/2014 to cancel because they were closed on New Years day. I called the following morning at 9am to cancel the form that I accidentally filled out and they said they could not refund my entire $262 due to the fact that they already had done some research on my LLC. Which is absolutely untrue. I did all the work myself and the form they filled out was exactly the same form I filled out online, so in fact they did nothing. After disputing it with them over the phone, they agreed that they will refund partial amount of $187 and keep $75 dollars for themselves. Again, they are keeping $75 for "doing Nothing" . I kept telling them that they had done nothing and they knew they had done nothing. This is an outrageous way to do business and I am sure that they are doing it with most clients without them knowing what they are doing to them. I have never experience anyone or any company trying to keep cancellation fees for doing no work pr providing a single service. This company "MyLLC.com" refused to work or handle my refund and they were rude and unprofessional in handling this issue.They should have a better refund policy and an Option for online clients to cancel their forms so they will not be charged and go through this problem I have gone through. Many other companies, retail stores, and merchants have a 30 day refund policy with Full refund guaranteed no matter what. If I buy a pair of shoes or a shirt and it doesn't fit I can return it within 30 days alongside the receipt for a "full refund."Desired Settlement: Refund my full $262.00 If a retail store can refund a customer their money in full within 30 days, why can't an internet company like MYLLC.com among others can??

This customer did place an order for $262.00 but he is incorrect in saying we did nothing. As it turns out we checked the name with the State, prepared the document for review and signature, emailing them to him, and provided the name and address of the Registered Agent. Which we charge $25.00 for each of these services.

He received a refund as per the terms and conditions that he signed and agreed to. After he received the refund he went ahead and filed a chargeback with his Credit Card company. Which was a fraudulent chargeback.

I’m sorry he feels someone at our office was rude and unprofessional. We take pride in our professionalism and strive to be courteous to our customers.

It definitely was not a case of us not doing anything and not giving him the correct refund. It was a case that we certainly did do work, which he either copied or used to file with the State and then gave him a refund according to our terms of service.

We are not a retail store with a 30 day refund policy. We process the orders immediately and respond right away. Our terms of service are very clear about our refund policy.

Review: This company MyLLC.com,Inc., was hired for registered agent services for one (1) State, District of Columbia for 1 year. They charged my MasterCard for $99. We never rehired or continued the business after one year as we did not win any contract for business in the DC area. Three years later they send me a bill claiming I owe $237 for past due invoices. After discussing by phone about this problem with MyLLC.com, Inc., MyLLC.com, Inc. proceeded to charged my MasterCard without authorization for $237. MasterCard has since intervened and has returned the charge. Hiring this company for 1 year has turned into an unauthorized nightmare. Now they are threatening to put this on my personal credit report!Desired Settlement: A letter on their company letterhead apologizing for the unauthorized MasterCard charge attempt and a guarantee to never charge me for any future business.

We have served as the Registered Agent for this client since

he registered with the District of Columbia in 2012. He did pay his bill in 2013, via check, but

didn’t pay the 2014 in a timely manner. He

didn’t follow through with his requirements with the District of Columbia, so

they revoked his ability to do business in the District. He needed to withdraw his entity to end it with them, and that would have ended

our responsibility to continue to serve as his Registered Agent.

We have contacted him each year and he spoke with [redacted]

multiple times in 2012, 2013 & 2014.

In 2013 he indicated that he didn’t need the service any longer, at that

time his options, necessary to cancel our services, were discussed. The terms of service that he signed when placing

the order let him know that his account would be automatically charged if

payment was not made in a timely manner.

He agreed to the terms and that is exactly what happened in 2014.

Clients don’t hire us for one year. If they choose they can pay for one year at a

time, but they are told that to end the service one of three things needs to

take place.
