In my previous response to your complaint I outlined the details of the situation with easily verifiable facts. Please allow me to reiterate the most basic ones: 1. Your company is still listed as active in Louisiana. You can verify this by visiting the Louisiana Secretary of State's website and searching for your company here: [redacted] 2. We are still being used as the registered agent for your company in Louisiana. You can see this as well on your company's active listing with the Louisiana Secretary of State. 3. When you hired us, you appointed us to fulfill the registered agent requirements as set forth by the State of Louisiana. 4. Unfortunately, you cannot cancel our service with a simple phone call. We wish it were that easy, but in order to do so, you would have needed to either appoint a new registered agent or formally withdrawn your business from the State of Louisiana. As the state record shows, neither of those things happened. 5. We have been fulfilling the service you hired us for in 2011. As you stated in your original complaint, we have sent you multiple invoices over the years. 6. We have tried to be as easy to work with as possible, fulfilling the service you hired us to fulfill. We are simply asking that you pay the outstanding balance on your account for services rendered. Additionally, similar to our services, you cannot call the Louisiana Secretary of State to cancel your "account." What is required to withdraw your business, a Limited Partnership, from Louisiana is to file a form called the Termination of Registration. The form has a $150 filing fee. Here is a link to that form: http://www.sos.la.gov/BusinessServices/PublishedDocuments/394PartnershipTerminat... Tom G[redacted]

I am rejecting this response because:  I cancelled the account with Louisiana years ago at the same time I cancelled the account with you.   I have not received any coorrespondence from Louisiana or Northwest Registered Agents since 2011 except the bills and statement I just received last week.  Unfortunately all the paperwork concerning this cancellation is in storage but I can not understand how you can not send me bills for years nor send me any paperwork stating that you will still dealing with Louisiana. Shouldn't you have forwarded this paperwork so I would be aware of it?  As for Louisiana, again, I contacted them in 2010 or 2011 and explained that we would not be doing work there and they informed me that they would cancel my account with them but if we decided to work in the state later, I would have to start over and I agreed to that and this was the same time I cancelled the account with Northwest Registered Agents.
Sincerely,

Complaint: [redacted]
I am rejecting this response because:  Again, we hired you in 2011 and up until two weeks ago, there was no contact whatsoever.  I contacted the State of Lousiana and I am cancelling the account, the paperwork is in the mail along with $150.00.  I talked to Christine and according to her there were three activities on our account.  The first was when I set it up and I paid the $150.00 in 2011.  The second was when Northwest Registered Agents changed THEIR address in January and the third was when Northwest got a CC of some document on March 10th of this year.  That is all.  She told me that I was suppose to send a letter with the $150.00 to cancel the account but that except for three things, nothing has been going on.  It seems strange to me that a business will go six years without sending invoices, calling and asking why they have not been paid, having some sort of contact.  I have had no contact at all for six years until I am told I have a bill to pay and that I have to pay over $800.00 to cancel my account.  This type of customer service is ridiculous.  I would never let a customer of mine go six years without a payment and not reach out to them to ask why.  And to tell you how bad your customer service is, when I got the first email the first of March, I responded to [email protected] which is on the email for questions.  I did not hear back.  In fact, I responded three times before I contacted the Revdex.com, not one word.  So please don't tell me that your reps don't tell customers that they can't cancel over the phone.  These same reps do not respond to emails even though those emails tell you to send questions to that email address.

Hello, I am writing in response to your Revdex.com complaint and have reviewed your client profile and account. Below is a link to your active company registration in Louisiana (the image of this listing is also included with this response, as well as your company's most recent annual report filed with...

the Louisiana Secretary of State on 8/22/16. All of these documents list us as your registered agent, as we have been that since the day you hired us in 2011): [redacted] In 2011, you hired us to be your registered agent in Louisiana. We charge $125 a year. While we have not received payment from you in six years, according to our records and the Louisiana Secretary of State records, we are still serving as your registered agent; we’re still doing the job you hired us to do for you back in 2011. Many companies wouldn’t let clients go six years without paying them, but we strive to be easy to work with. If you’d like to cancel service with us, that is fine. But you need to follow legal state protocols in Louisiana to change registered agents to someone else, as we cannot cancel service if you do not hire a different agent. Registered agents are a legal requirement, assuming you still want to do business in Louisiana. Perhaps this whole not paying us is a big misunderstanding? After being so generous with providing so much time of service without being paid, your review seems unfair. I hope you’ll consider cancelling your Revdex.com complaint and I really hope you’ll decide to pay for the services we’ve provided for the past 6 years. I see on your complaint where you state you called in and claim someone told you to just not worry about an invoice or paying us. That doesn’t make a lot of sense to me. We’re not in business to send people invoices and then tell them not to worry about them. You also say that we told you the bills we generate are an error. That also doesn’t make a lot of sense to me. We make our living by charging people for our services. Maybe there was a misunderstanding? Obviously there was if that’s your takeaway from our interactions. I’m sorry if we’ve caused confusion and failed at articulating ourselves to you. If you have something in writing saying to not worry about paying us, I’d love to see it. That would be a great opportunity to talk to my staff and do some training. I’ve never heard anyone here say things like that though and it kind of defeats our entire business model. We provide registered agent services for a living. We charge an annual fee for it. Without charging people we wouldn’t be in business. I’m hopeful we can work through this. We’ve gone six years doing what you hired us to do, without payment. I hope you’ll decide to pay us. If you would be so kind as to pay us for our services, and you still want to switch registered agents, I’d like to extend an offer to pay the state filing fees to switch and do the filing for you to switch registered agents for you. We’d just need to know what service you’d like to switch to. Please let me know what we can do. Review: Hi !

I signed up for a free account to download legal form for a LLC I incorporated. This registration did not ask for any "agree to terms" form, or a privacy of information disclosure.

As part of my account, I have entered my company name, [redacted].

It turns out that I'm able to download the free "sample" forms from my login, but my company name "[redacted]" was used to purchase an online domain of [redacted]

I believe my information has been compromised and an employee of Northwestern Registered Agents by himself or through company policy has purposefully purchased this domain to solicit a sum from the original [redacted] (myself and its members)

This domain has been available for years before I registered this company on May 30, 2014. I have not entered any information on any website or portal besides Northwestern Registred Agents. This domain of [redacted] has been blocked by them so that [redacted] approaches the owner and has to pay a price other than what is available by domain registrars (i.e. $9.99 a year)

I can provide proof of registration of my company in the state of Texas . Although anyone can sign up for a [redacted] domain as it is not protected under a patent, but it is suspicious to know that this event has happened immediately after sign up with NorthWestern Registered agents and the name of [redacted] has been used to purchase/block an internet domain.

Thank you and looking forward for a quick resolution to the issue.

[redacted]Desired Settlement: 1. Northwestern Registered Agents Inquire employee activity of purchase of domain [redacted] and hold accountable for purchase action.

2. Northwestern Registered Agents Cancel registration for domain name [redacted]

3. Northwestern Registered Agents Have disclosure information on sign up page for the company

4. Northwestern Registered Agents Post Revdex.com ranking on their website for customer satisfaction

5. Revdex.com take appropriate action and follow up to resolve the data privacy and misuse happening by an employee or by the company itself.

6. Revdex.com enforce appropriate laws/policies that this does not happen again

Business

Response:

This claim is 100% FALSE! The complainant claims that the domain name [redacted] was registered by our firm or one of our employees, but a simple search to determine who and when the domain was registered reveals something very different. By conducting a simple WhoIs search at [redacted]

it is clear to see that the domain name was registered from South Africa on December 2, 2002! So it's clear to see that since the complainant signed up for our FREE online forms in April 2014 that we did NOT steal his company name or domain name. That's a lousy way to thank us for providing thousands of dollars of free legal forms on our website.

This claim is totally baseless and false.

Revdex.com,

I have reviewed the response made by the business in reference to complaint ID [redacted] and find that this resolution is satisfactory to me.

Regards,

First class and very professional service, highly recommended.

Review: I attempted to cancel service. They provide multiple options, one of which is to simple leave without any other work (ei - not filing article of termination with the state or changing registered agent). I received an email less than 2 hours after attempted this, via an automated email at 2AM, stating I was being charged a $250 fee for not properly closing my service.1) Why is this optioned offered if it automatically incurs a $250 fee?2) Why is the $250 fee not mentioned anywhere else?3) When did the company take their 48 hour review time, in two hours in the middle of the night before automatically charging me an additional, previously undisclosed $250 fee?Serious bait/switch, misleading practice, dishonest, and preying on people by offering an appealing cancellation option that automatically incurs an undisclosed $250 fee.Desired Settlement: Don't charge me $250, and change the website design to stop bait/switching other customers in the future.

Business

Response:

Attention Joel Oscarson--ID 9536987

While we do provide the option to “simply leave without any

other work” on our cancel form technically written out as: “I don't want to do any of this crap, please

just resign as my agent and be done with it.”

, this user did not select this option.

Our records show that he chose the option stating that he “Dissolved

your company.” We have recorded evidence

of this selection, this is a screen shot from our cancellation database:

<v:path o:connecttype="rect" gradientshapeok="t" o:extrusionok="f">

While the screen shot isn’t pretty, it clearly shows the

date stamp and the state of AZ where the client is registered and that he made

the selection of “Dissolved” as well as the reason for being denied.

Here are the options available to every client:

After selecting that you have dissolved your company, you

are prompted to the next page:

When a client makes the selection that they have dissolved

their company, they are given a follow up question to verify how they can

confirm they have dissolved their company.

This user chose the option “You’ve done a name search and can verify

that you’re not active.” When the user

then selects to Cancel Service, a third request pops us with the following:

The reason the cancellation was disapproved is because as

you can see from the Arizona Corporation Commission, this company is clearly

still in good standing and has NOT been dissolved AND we are still listed on

record as the Statutory Agent for Lionheart Investments LLC.

This search can be replicated by searching on the AZ

Corporation Commission website at: http://starpas.azcc.gov/scripts/cgiip.exe/WService=wsbroker1/main.p

and typing in their company name. The Arizona Corporations Commission

website it nice because it shows all filings someone is making up to the day,

even if that filing has not been approved by the state. You can see that

someone sent in articles of termination on 5-13-2013 and they are waiting to be

processed. If Mr [redacted] filed articles of termination on 5-13-2013, he would

have obviously known on 5-9-2013 when using our website that he had not

actually been dissolved if he hadn’t sent in the paperwork yet. AZ takes about

1-2 months to process that filing if Mr [redacted] has paid his taxes to the state

for this company. So we should be all good to go in a month or two.

The $250 fee is not a fee to have us resign. It is a fee for

a customer lying on our website 3 times and wasting our time instead of

following simple instructions. We are still providing registered agent services

to Mr [redacted]. Once he actually completes the filing for the articles of

termination to the state, our system will actually automatically pull that data

for him, making the process easier, and had he actually been dissolved the

whole process would have been really, really, really, really, really easy and awesome

for him. We don’t take the process away if our system doesn’t agree just in

case the client is smarter than a computer. Mr [redacted] was notified of this bill

on 3-10-2013. His bill for another year of registered agent service isn’t due

until 6-8-2013 so hopefully he’ll get it dissolved before that and cancel his

account. Worst case is if he gets his dissolution after that the system will

prorate his yearly bill so he could pay us for doing the job he hired us for

and not screw him over by making him pay for a year when he might only need one

more month.

We have never charged a client $250 to resign or terminate

their company and we find it offensive that despite asking 3 times if he has

properly dissolved his LLC, the client still provided false information on our

cancellation form and called us misleading and dishonest.

If he would have selected the last option Mr [redacted] calls the

“simply leave without any other work” which we call on our website: “I don't

want to do any of this crap, please just resign as my agent and be done with

it.” we would have charged a $45 fee to prepare the articles of resignation of

statutory agent and file them with the state of Arizona and manually archived

his account after we got the filing back from the state which we do for a loss

just to help the client out. Mr [redacted] probably didn’t remember the last options

wording because he obviously didn’t select the last option or go through the

process of the last option to just have us resign as the agent.

At the end of the day, Mr [redacted] properly dissolving his

company will be the best solution for him and he’s already got the paperwork

there at the state to do so. Once he gets that completed filing back from the

state, he can simply log into his account and cancel his account and he won’t

by lying on our form and it will all work just fine. He won’t be charged

anything unless he goes past what he’s already paid us and into the next years registered

agent service bill, which will pro-rate out to the day. Even though we bill 1

year at a time, we do not make our clients pay for a full year if they’re

cancelling in the middle or beginning of the year.

All that said, if the customer would have just called we

would have happily removed the $250 invoice he created for himself by falsely

answering questions 3 times, and help him go through the proper cancellation

procedure with the state and get the state to stop thinking he should be paying

them taxes, which is ultimately the best solution for the end client.

We provide him with the form in his online account which he

used to send off his dissolution papers to the state. We try to make it as easy

as possible for people to close their businesses down with the state.

We removed the invoice from the client’s account the same

day that we received the complaint and have tried to reach him by phone,

leaving a voicemail on Friday 5-10-2013, Monday 5-13-2013, and Tuesday

5-14-2013, and an email on Monday 5-13-2013, but unfortunately the client has

been non-responsive.

We put a LOT of effort into making a process that everyone

finds annoying (shutting down their business) as helpful and quick and easy as

possible. We provide the forms to file with the state, we provide name search

links, we provide tutorials on how to actually do it and how long each state

will take, and we don’t screw people over on billings. Furthermore, we bend

over backwards for all our clients when they communicate with us. I’m sorry

that Mr [redacted] was working in the middle of the night and couldn’t have just

called us during business hours. He’s not responding to us, but hopefully you

will get this message to him: Mr [redacted], I’m sorry you did not find our process

helpful. Please call us or email us anytime and we will try our best to make

you happy.

Consumer

Response:

I have filed the articles to dissolve the LLC with the state and the process will be completed before the end of expiration of services with Northwestern Registered agent. This will allow me to terminate service with them and avoid any additional fees.
