Called client 12/17/and left voice mail to resolve this issue The unit is discontinued in our records and the client shouldn't receive any invoices I confirmed that anything open in our records has been closed

CSC is writing off the balance of this charge and discontinuing the entity in our recordsThis request has been withdrawn from the collection agency as wellCustomer should not receive any additional requests for payment

I spoke to the client today, 2/13/at 5:pm, and he states that he hasn't received any invoices in a few months He also stated that they were inconsistent and an invoice would just appear, but nothing since October, Per our records, the invoice [redacted] has been closed and we've resigned as agent 6/27/ Per the state's database, we're not listed as the agent

The service was discontinue in our records on 9/8/ We are no longer the registered agent The outstanding invoice has been credited off

As a threshold issue it is important to note that this is NOT a consumer transaction It is purely a commercial transaction involving a company and a commercial lender In this case, Corporation Service Company (“CSC”) provided services to the commercial lender involved, not to the party that submitted the complaint or to the company which that party purports to represent The party that filed the complaint did not do so as a consumer, but as an officer of a company that transacted business with a commercial lender The complaint was made against Corporation Service Company (“CSC”) in its capacity as a service provider to the commercial lender CSC was named in the complaint because it serves as representative of the secured party on a financing statement filed under the Uniform Commercial Code (“UCC”) CSC serves as the representative of the secured party on UCC financing statements to prevent use of these public records for unwanted sales and marketing solicitations This service is used exclusively for commercial lending transactions and not for any transactions involving consumers The purpose of filing a UCC financing statement is to provide notice that a security interest may exist The financing statement to which the complainant refers satisfied all applicable legal requirements and was not in any way “illegal” as claimed CSC and the secured party it represents respond to communications regarding filed UCC financing statements in full compliance with applicable law CSC could not disclose information about the UCC financing statement to the complainant because CSC had no way to verify that the complainant was entitled to the company’s financial information That is why CSC must forward such communications to the secured lender that CSC represents for a response In this case, CSC forwarded the complainant’s communication regarding the UCC financing statement within minutes of receipt The secured lender to the company affiliated with complainant responded to her promptly and resolved the issue

I spoke to the client and confirmed that he filed a withdrawal in CA, he'll contact comptroller in TX to see what's need to maintain good standingHe might be withdrawing there as wellI explained that the comptroller communicates directly with the business ownerMail history shows that we sent correspondence to him regarding the annual reportsHe's thinking of qualifying in FL and wants to wait until We agreed to start the process, mid-afternoon on 12/27/and get the order enteredHe's fine at this point and all of his concerns have been addressedThe registered agent fees will not be refunded, as we were listed as the agent prior to the changes and still listed as the agent for the other stateHe will respond to my email with updated contact information and we'll update his accountAll is well

Corporation Service Company (CSC) fixed the error in its billing records that incorrectly linked customer [redacted] to a registered agent account for a different corporation - [redacted] ***, Incorporated Mr***’s name and email address were removed from the account for [redacted] ***, Incorporated CSC regrets the inconvenience to Mr [redacted] and further that this error was not fixed after his first request We consider this matter closed
