I have reviewed the response made by the business in reference to complaint ID [redacted], and have determined that this does not resolve my complaint since they made no offer. As I said in my complaint, when the original club declared bankruptcy I withheld further payments to the old Club until I could see where the Club was going financially. I have been a member of several clubs which went through such bankruptcies and never came out of it; thus, I was biding my time in this instance to see what the outcome might be. As I mentioned in my original complaint, when the new entity contacted me, I offered to pay any back dues owed, and offered to join the new club but at the social level, which was permitted under the old rules in which I purchased my property. The new entity refused, evidently wanting to maximize their income without regards to the previous members, such as myself, who had carried the old club for over a decade. As they said in their response, "it was a leap of faith" for members to retain their membership, which I was willing to do, but not at the level they demanded, particularly considering the experiences I've had with these other clubs. I am happy for the current members that things seem to be working out, but I still can't recommend a Club which is or was not willing to compromise, particularly when they were an unknown entity to us at the time. By not willing to compromise even today shows their ill intent, which I was worried about to begin with. By not even listing my property also shows malintent, and a policy to "punish" those who would not go along with their dictatorial rules. A Club with confidence would like property to sell or to have in their inventory, or new members to help support the Club and its activities. Evidently they do not have this confidence in themselves. Be it as it may, I am financially damaged by their "new" policies and had hoped they would be reasonable before any monies had to be spent on legal action. I have talked to several other previous members in my situation and they too want some relief from the damages they also have suffered. Funny that they wanted money owed to the previous Club but was not willing to stand by the old Club's policies concerning membership; kind of like wanting your cake and eating it too.

Dear Ms. [redacted]: January 2012 the Cliffs Club & Hospitality Group filed bankruptcy and through that process the court and its creditors designed the method in which the members could recover a portion of their prior deposit and transfer into the new club without having to purchase a new...

membership. The new owner needed a commitment from the membership by a certain date in order to be assured the business model would work prior to purchasing the assets of the bankrupt company and assuming over 65 million dollars of debt.  Former members in good standing could transfer into the new Club by paying a transfer fee that would be applied to the court cost. They could transfer in at the same level as before or higher. In order to protect and maintain the new business, downgrading the memberships had to be done a level at a time once a year and limited to 5% of that category.  The new company in turn agreed to back the business and pay to the historic members a refund when they sold their property. This was calculated from the prior membership deposit they would otherwise have lost as an unsecured creditor of the bankruptcy estate.  At the end of August 2012 the new company closed on the transaction and began operating the Club.  The bankruptcy of the former club was difficult on all parties and all parties had to pull together to come out of it. Our members had to commit to the new company and it was to some a leap of faith. Since that time the Club has grown and thanks to our faithful members we have a bright future.  Mr. X was a member in the former Club. His account however was not in good standing and was suspended for non-payment with a former club balance over six thousand dollars. All dues and fees he had failed to pay and which he references in his letter would have been given to the court to help reduce the debt of the former company. The new company had agreed to allow him into the new Club under the same conditions as all the other members. He had to be in good standing and transfer in at the same level of membership. Mr. X made a personal decision not to transfer into the new club. Memberships are only available on the lots of active members. This supports our members as they attempt to sell their property. Mr. X claims that now without a membership we have reduced the value of his property. The Club has nothing to do with the value of his property but Mr. X eliminated, by his own choice, any buyer who would have wanted a membership to the Club. His actions reduced the number of buyers who may have considered his property.  The Club followed all of the rules established by the bankruptcy court which were approved by the creditors and former club members. The Club is here today because of its members not because of those who did not join or maintain their account in good standing. Mr. X’s attempt to bully the Club with the threat of disparaging its reputation thru this complaint is an act of desperation and should, by his own words, be considered an attempt to blackmail the Club into giving him a membership or buying his lot.
