1. Complaint charges named defendants with violating or aiding and abetting violations of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5.

This action concerns the Defendants' roles in a "pump-and-dump"
Scheme related to the stock UOMO in January and February of 2020. Through their control of a promotional website and possession of email lists, defendants
touted UOMO, a penny stock in order to unlawfully profit from the short-term increase in the price and trading volume of the stock caused by their promotional campaign. This promotional campaign frequently urged people to buy shares of the promoted stock and, contrary to their exhortations to readers of their emails to buy shares, intended to sell their own shares immediately and/or take advantage of short selling positions they and/or their associates owned.

2. During the time period of January thru February of 2020 and possibly dating back further with other securities, defendants unlawfully promoted, and unlawfully schemed to defraud investors in the stock of at least the following microcap issuers: UOMO Media Inc. Their unlawful act caused plaintiff documented losses of $5,480.68. Through defendants pump and dump scheme, the stock of UOMO went from trading at a share price of $1.879 on February 12th to an immediate and rapid drop to .226 (22.6 cents) on February 13th.

3. By engaging in the conduct set forth in this Complaint, (a) defendants
violated - and unless permanently enjoined, will continue to violate -
Section 17(a) of the Securities Act of 1933 ("Securities Act") (15 U.S.C. � 77q(a)) and Section lO(b) of the Securities Exchange Act of 1934 ("Exchange Act") (15 U.S.C. �78j(b )) and Rule 1 Ob-5 thereunder (17 C.F .R. � 240.1 Ob-5); (b)
violated- and unless permanently enjoined, will continue to violate- Section 17(a)(l) and (3) of the Securities Act (15 U.S.C. � 77q(a)(l) and (3)) and Section lO(b) of the Exchange Act (15 U.S.C. � 78j(b)) and Rule 10b-5(a) and (c) thereunder (17 C.F.R. �240.10b-5(a) and (c)); and (c) each defendant aided and abetted the other defendants'violations.

In connection with the transactions, acts, practices and courses of business
alleged in this Complaint, Defendants, directly or indirectly, singly or in concert, have made use of the means and instrumentalities of interstate commerce, or of the mails, or of the facilities of a national securities exchange.

Plaintiff seeks immediate restitution of $5,480.68. Plaintiff is in possession of documented trades as well as several emails from Defendants, which outline such lawful action in detail.
