Below is the series of correspondence between our company and [redacted].
I would first like to make it very clear that the person who is making these accusations and sending these emails IS NOT the owner of the business, and I am also not sure of their relationship to the owner or role with the company.
We were hired and retained by [redacted] to design all of their branding and also to design and develop a website. We did all of these things successfully and launched their website in early 2013.
We were then contacted by [redacted] as referenced in the emails below, accusing us of not giving ownership of the domain to the client, [redacted].
[redacted] fully owns the domain, we have the domain managed under our master account where we also house over 100 domain names for other clients, maintaining that they are not expired and ensure they are properly renewed at any given time upon expiration. We also HOST this site, among many others under our dedicated servers and maintain and manage all hosting responsibility to ensure all sites are functioning properly.
Every website we design and develop, and host, we provide access to every client to the back end of their CMS, and assist with any questions or issues that arise. In most cases we will do additional work upon a clients request, but have no issue to transfer the domain to their own account if a client requests so, As you can see from the below correspondence we have asked this client on numerous occasions for the information and credentials pertaining to where they would like us to transfer this information, and have yet to receive a response. Needless to say I was quite floored to see an email for the Revdex.com regarding a complaint that we have 'stolen' the ownership of a client website when that is clearly not the case.
++++++
[redacted],
Kevin has informed me of your dialogue regarding the [redacted] website - and what you are confusing as ownership. We in no way OWN your domain, nor do we want to. We did the leg work for it, and we manage it through our [redacted] account, where we have purchased domains for over 100 other clients. We also HOST her site, which is different through one of our dedicated servers which we maintain and control when and if there are issues. We monitor this to make sure the domain names don't expire, hosting is functioning properly, etc. The business has an owner, and therefore, the website is property of the business/owner.
After what has transpired, for reasons I no longer have interest in knowing the reason behind, I would like to transfer this domain immediately out of our account and to yours. Kevin has been asking for weeks for you to send the information he has requested so they we can initiate and monitor this transfer. There has never been a motive or need to have control over this website from our end other than making sure it was live and functioning properly. We struggled for months getting the information we needed to get this site done and live, and we came in on two separate occasions and trained staff on how to use the site and update it. The need at the time was NEVER e-commerce, it was about the ease of management and updating and something that we strongly suggested and encouraged [redacted] do on their own. We stated very clearly from the onset that we would help in any way we could, and there was and has not been any charge for that on the occasions someone new would come in and need to learn how to do something. And I'll also add that you have not paid us a yearly hosting bill in two years.
No one is refusing you access, you were simply told that we are not going to give you the credentials to log in to our master account which is simply for the security of many other clients. You have been told on more than 6 occasions over the emails I have read that we would be happy to transfer this to YOUR [redacted] account. Do you have one? Please send the credentials and we will initiate this transfer.
Lastly, there are no 'THEMES' used by TPD in creating custom built websites. We design and develop all of our work based on the needs of each project.
I will make sure this is done once you remove your complaint filed 8/1 to the Revdex.com stating that we 'stole' your website. That is the most absurd thing I have ever read.
There is no interest on our part to work with [redacted] on anything moving forward after the things that have transpired over the past year including but not limited to sticking us with 5000 custom bags made overseas, these accusatory emails surrounding the website, and the constant indirect and second hand communication through revolving employees, and never directly the owner whom we began this project with, and through the events that have taken place here and the erroneous accusations, I suspect the feeling is beyond mutual.
If you have any further questions, please address them to me via email.

Thank you for your reply!
I made my concerns about [redacted] clear in the email below (which I can resend) and they are backed up by numerous sources -perhaps your team should research these issues prior to using these platforms, the costs opposed to other themes (which are then further marked up by TPD) and it's lack of capabilities. As I said, retailers needs are constantly changing and if you had made it clear (which after review of contracts and email exchanges) you did not, that for five years the limitations of this and would then need to use new software and designs for e- commerce and not have control over the site she purchased- it is an issue.
The email exchanges and contracts say development only and say nothing about you putting it in TPDs/ your web developers name (even when [redacted] inquired); which is why I asked if you had any additional contracts that we do not. If you would like me to send you articles on the types of web developers who choose to charge their clients for the domain name and then put their name on the registration and refuse clients complete access and control over the site; I will be more than happy to. Also, you are using registered trademark information on the site without the owners permission. Furthermore, giving someone an OK to set up something does not give them the OK to put it in their name and control it.
I made clear what we wanted from your team please let me know if I need to resend because I am not getting what I asked for on your end.
Thank you!

Hi [redacted],
I just got back into the office yesterday and have been playing catch up.
Maybe I'm not explaining this correctly. [redacted] did in fact give us permission to set up the site this way, we buy and maintain the domain and host for her. This was not done in a secretive way to force her hand in any such way.
I'm a little confused about such push back [redacted], it is a fine CMS and is in fact not more costly then others. If the initial intent was to do eCommerce we would have approached the build in a very different way and would not have used [redacted] but rather an eCommerce platform. As I have said several times, this was not the initial intent of the site. ECommerce is not a switch on any custom site and are quite intensive builds. I'm not sure how else to say this.
I am happy to make the transfer happen and I can absolutely provide you with estimate but I need to know what exactly you want and there will be information I need from you. You want the domain transferred to your [redacted] account - I will need your account information after you set it up if you haven't already. Do you want to transfer hosting as well? If so, you will need to let me know who you have chosen to be your new host and who is going to take care of the transfer on your end. If you don't have someone to do this or are using the hosting company's people I'll need to know that as well to make a proper estimate of time. Another alternative is you hiring IT/web company to handle these aspects for you and we will gladly work with them.
Let me know specifically what you would like to do. I have no problem moving forward.
Thanks,
Kevin

Dear Kevin Thank you for your prompt reply! Please see the attached picture, unfortunately the username and password you sent me do not work.I am sorry if you felt my comment about [redacted] was critical; however, I was simply asking why this publishing platform was chosen since it is newer than a number of others (not to mention is more costly) and what clients were using them for e-commerce since the first e-commerce theme for them just launched in March. When a platform launches there are issues that haven't been completely worked through (which has happened with [redacted]), some hosting platforms aren't compatible (which [redacted] has had issues with [redacted]) and your clients changing needs can't be met. There is plenty of documentation stating these issues available online - I am surprised you aren't aware of the background of platforms you set your customers on and simply wanted to know the reasoning behind your choice for this system as opposed to others which are more established.
When you purchased the domain at the time and set up the website, I understand [redacted] wanted you to set it up and handle everything at that time and not do e-commerce, but the domain she bought and paid for and owns is for 5 years. My point is that by putting the ownership in the web designers name and not providing access to the domain that for the time period she owns [redacted].com; you have basically forced her to either use your services or else charge her a fee if she chooses not to. Her contract was for logo design and website set up; she did not sign a contract with TPD for a 5 year period and to release control on access something she paid for and owns without her knowledge. I understand that you say this is how TPDs operates, which is very interesting, but if I paid for something and someone else uses it and puts their name on it without my consent - I know what I would call it; what would you? If you have a contract that states something different than [redacted] does, please send it- because that is not the terms that were agreed to.

Hi [redacted],
Sure thing:
1) [redacted]
user name: left blank for security reasons
password: left blank for security reasons
2) [redacted] is a well established CMS. I'm not sure why you are questioning that aspect of it since there is no justification for that critique of the CMS. [redacted] has been around for quite some time. Feel free to send me any articles or literature as to why it is a not appropriate for the [redacted] website. I would be happy to read them.
When we began the project after many discussions with [redacted] she decided not to create an eCommerce site. Building an eCommerce site is a very different and more costly approach. Since [redacted] did not want that, we did not build that.
3) As I have said, [redacted] is not a new platform. We do build in training time into our contracts. I personally came to the store and worked with [redacted] for many hours training her on [redacted]. Not to mention the many hours accumulated on the phone with her as well. The hours I spent were beyond the contract allotment of time for training and we did not charge for that additional time.
4) As I have explained in previous emails, [redacted] asked us to take care of everything and set up all aspects of the site. I had discussions about what avenue she would like to take when we were purchasing the domain and she told us to take care of it and purchase the domain. The same does with server hosting. This is not uncommon for any design firm to work this way. We work with many clients who purchase the domain name themselves and have it on their own account. That however was not the case here.
She paid for our services to purchase and set up the domain. She paid for our services to build and host the website. All of these things take time and expertise. That is what was paid for and the costs for domain purchases, such as any assets needed, are on the client. Please let me know if this is unclear.
5) [redacted] should have copies of both agreements for the brand/logo development and website design and development.
I am very happy to work with you on changing anything you would like on the site, where it is hosted, transferring the domain, etc. I'm not trying to be difficult but I feel that your repeated questions are looking for a different answer to the same question. Doing any of the changes will take time for us. That time will have to be charged at our agency rate of $150/hour which is also stated in our contracts. I have answered your questions quite thoroughly in all of your emails. I cannot however continue to repeat the same answers to you. Please let me know if you want to move forward with any of the changes and I will draw up a contract with the time/cost estimates which we can both sign and then move forward.
Thanks,
Kevin

As for moving to another server, you would need to find that and set up the account. And there will be a charge for our time to migrate the site over.

Hi [redacted] and [redacted],
The links you sent are not for free services, so I'm a little confused.
The first link is if you are using [redacted]'s template builder and they has some free add-ons. Yes, it is saying you get a free domain name but only when you sign up for the monthly plan for their web builder app for over 12 months. We did not build the [redacted] website with templates, it was custom built with a full CMS which allows the user to update any and all information & photos, we set up the blog, stylized the map section to match the site aesthetics. Also, the [redacted] site is not hosted on [redacted], it is hosted on our server. This is our standard practice. We have had issues with [redacted]'s hosting services in the past and prefer not to use them.
The second link about transferring names - its only a free year extension, not just a free year. When we purchased the domain it was for 5 years already, so its up to you if you want to extend it.
Like I said in my other emails, we have no problem transferring the domain over. The charge was for our time, not for the transfer itself.
I am very happy to work with you both where ever I can to help. The situation currently is that we have built and are hosting the site and we have the domain on our account. All of which has been paid for with the additional costs of the yearly hosting fee of $160/yr (our standard rate). If you want to transfer the domain, we can do that. If you want to transfer hosting we can do that as well. You will need to find a new hosting company and we will work with them to make that happen. All of these things take time, hours in fact. As I mentioned previously our standard agency rate is $150/hour.
Let me know what you would like to do. I'm happy to discuss further, I'm just not clear on exactly what it is you want to do (other then transfer the domain to your account). [redacted], on the phone you mentioned something about starting over with someone else. If you want to do that, that is fine. The original site is already built, completed and paid for. But if you decided to keep things they way they are, the only additional costs from us would be the yearly hosting fee. It is really up to you what you would like to do.
I hope you both are staying cool in this awful heat we are having!
Thanks,
Kevin
