I have reviewed the response made by the business in reference to complaint ID ***, and have determined that this proposed action would not resolve my complaint. For your reference, details of the offer I reviewed appear below
See attachedOn 10/26/I contracted the services of a business attorney who will settle this case in courtTyrellone missed a 5pm deadline on 10/26/to hand over the product which was purchasedI will submit a copy of the courts findings to the Revdex.com once this case is settledTyrellone claims that their software engineers uploaded the wrong files which correspond with the product purchasedOur company found this hard to believe that well trained and educated computer experts would "mix up files"The attached file displays a similar pattern of changing stories, missed deadlines and a loss of revenue to our company which has already paid out the cumulative sum of $37,to tyrelloneThe attorney hopes to settle the claim within daysIf Tyrellone turns over the product, intact and without any evidence of it being tampered with our company will evaluate how much has been spent on attorney fees up to the date the product is turned over to usWe may or may not pursue recooperation of those attorney fees, depending upon the accumulative amount

I have not talked with [redacted] in nearly a month—he has not accepted phone calls but rather requested we communicate through email....

Based on our correspondence the demands that Mr. [redacted] has made suggest a misread of the terms of our proposal or a lack of understanding regarding app ownership and transfer of the relevant technology.
·        [Point of information Mr [redacted] claims that he paid TyrellOne to develop and educational phone app called “[redacted]”. This statement is not completely accurate:
o   October 2014. TyrellOne LLC provided [redacted] with a proposal of services to develop an app called [redacted]. [redacted] accepted this proposal. With the following key points
o   April 2015, [redacted] halted the [redacted] project. At that time, and TyrellOne and [redacted] agreed to build a new and distinct app “[redacted]” under the same agreement. ]
·       TyrellOne keeps missing deadlines. The reference deadline is for the following two items:
1) Acess information to the [redacted] website, [redacted] facebook account and most importantly the [redacted] programming code. 
2) A breakdown of how much money of the $36,000 stayed with Tyrell one and how much money went to the foreign programmers along with the method of payment. (The CPA steven Dey will contact you directly or me if he needs more information concerning the financials of the [redacted] venture)
o   Item number two was rescinded by an email by [redacted] dated October 2, 2015
o   Item number one was partially fulfilled on via email on October 4, 2015
We just wrapped up team meeting.
o   I have sent invites/credentials to Aleks for
§  The web page [redacted]
§  And the [redacted] Dropbox. The folder is empty now, but the items should be there by tomorrow. We are in the process of uploading the code and FTP access.
o   Facebook
§  This was a temporary fanpage made under my account, to facilitate transfer. I will upload graphic to the Dropbox
o   Apple/Google Access, you will not require this unless TyrellOne is distributing the App
o   The two outstanding items were Apple/Google access and the [redacted] programming code
·       Apple/Google Access:
o   We will provide Administrative right to the person(s) of Mr [redacted]’s choosing which will effectively provide/deliver control of the app
o   [redacted] Programming code (source code): This request for the programming code is irregular.
§  [Using] the analogy of vehicle production & maintenance, while some generic pieces can be purchased at an auto parts store, almost all of the car … has to be provided by the same people that made the product in the first place. You can go elsewhere, but they are going to have to disassemble the original parts, figure out it works and build a factory to produce the same things that the original one did.
§  Another analogy would be that of a photographer. A photographer delivers pictures[app] to a client. However, the negatives [source code] is proprietary.
o   While [redacted] owns the rights to the app, he  does not have ownership rights to the programming code.
o   The TyrellOne proposal scope included the following
Scope Development
o Project Manager for App development
§ Android version
§ iOS version
o App Certification(s)
o Publication to Google Play Store and App Store
·       TyrellOne has made a good faith offer to deliver the source code after app revenues cover any outstanding costs.
·       TyrellOne has not delivered the app… Mr [redacted] and two members of his team are on the app distribution list. To date we have distributed 19 updates to the [redacted] App.  According to TyrellOne data his team has received and installed the app. 
·       On 18 October 2015, we advised Mr [redacted]’ team that we have uploaded the release version of the App for final review/publication. We are awaiting final approval. We are not in control of this process.
In summary, we believe that we are in compliance with the terms of our agreement with [redacted], and we are willing to exceed these terms to ensure his satisfaction.
·        Delivery of the app is effected with each build (19 times to date). We have progressively furnished copies “Builds” of the [redacted] app as they have become available. The final version (the one that was submitted for review/publishing) was distributed to the Teach the world team last week. In the event that this was not received, we will gladly resend the email, or enroll additional subscribers into the distribution platform (hockeyapp).
·        TyrellOne will provide complete Administrative access for the app to the person(s) of Dr. [redacted]’s choosing (all we require is an email).
·        At issue is Mr. [redacted] request that TyrellOne furnish the source code, which is proprietary. While we are under no obligation to deliver source code, we are willing to do so after app revenues cover any outstanding costs.
·        Transfer of the source code is not required to effect transfer of the app, nor is it within the scope of agreement for which TyrellOne has been compensated.
We are disappointed that Mr [redacted] felt it necessary to escalate this issue, we are and have always been open to resolve it internally.
I hope that this effectively addresses and resolves Mr [redacted]’s complaint.
