We are opening a CBD processing plant and asked for a quote on equipment. Scott asked if he could invest in the business. After we put money down our project was pushed back and *** did not put his investment money in. He then asked for 50% money up front to start on the project but then asked for the entire amount up front before anything equipment could be delivered or installed. We discussed not be comfortable with this arrangement and asked for our $15,000 to be returned. We have not heard from him since. He did not deliver any equipment. We have not signed any contract nor has there ever been any mention of a nonrefundable deposit or consulting fee.

was interested in buying a CBD oil extraction system. I quoted a system for *** base on her what she requested. They stated to me that they never agreed to prepaying for this equipment. I explained this by email to them back on 11/14/19 before any deposits were made, that the equipment is prepaid. It even said so on the quote I sent on 11/11/19. I never extend credit to a new business. Especially when it is custom equipment for their exact needs and building requirements. I did mention that I would be interested in a potential partnership agreement. We never reached any determination on that. I lost interested when both *** and her business manager Drew Sementa said that there was no way that they would agree to prepay the equipment after they had already made a $15,000 deposit on said equipment. They must not have read my emails (over 30 days prior to the deposit) or quote and acted as if it was a complete shock to them that a prepayment of the equipment was required. I was no longer interested in a partnership because they clearly were not understanding how business is conducted when custom processing equipment is made. If they made this big of an error just getting started they would clearly fail in short order. I still wanted to work with them so I changed the quote sizing it down, actually agreeing to build and ship the equipment with only 50% down, $20,000 payment for setup and hold $169,200 in escrow until the system is running and producing crude CBD like it was designed to do. This is what they had asked for yet they did not proceed with the project. This equipment is custom build to a customers needs. *** sent a $15,000 deposit on 12/23/19 to get this equipment started She said that the funding was in place, I never did see a approval letter or any confirmation of that. I took her word for it. We bought all kinds of materials for this project. We also had a lot of labor fabricating parts to get this system started. I had much more money invested in this than the $15,000 deposit. Which is probably why I agreed to change the quote and terms to help them out. They chose not to move forward. *** described the funding as a line of credit along with several credit cards that they would be able to get cash from to pay for the equipment. I don’t think they ever were actually funded to build the system, which would explain why they still did not agree to the revised terms of the agreement. *** has completely misrepresented the business deal. We got all of the funding we needed for the equipment so for him to say he doesn't "believe we had the funding" proves he backed out of the deal. He also told us we needed to pay half up front and then in 30 days. He told us he would have the work done in 3-4 weeks. So this would have been upon completion of the work. We never agreed to send someone over $400,000 and then hope that they completed the work. He states we do not know how business works but we researched this for 6 months before we purchased and other companies require a deposit and then the rest on completion of the job. In fact we are now processing with a different set up and that is exactly how it worked. He also states that he had purchased over $15,000 of supplies but when my partner went to his facility in Elk Grove Village there was not any equipment of ours being built. *** was working on a job in Pennsylvania. I believe he is actually lying and he used our money to purchase equipment for that job. He even called me after I sent the $15,000 and stated he "needed more money for supply orders" for our project. He also mislead us by stating he wanted to go into partnership with us and then after we sent the deposit he completely back out of this. I would be willing to let him keep $5,000 as a consultant fee and then he needs to reimburse us the $10,000. Thank you for your assistance in this matter.
