To Whom This May Concern:We’re in the process of filing a lawsuit in the State of California against our client, [redacted] for defamation, slandering, falsifying and creating a fake online [redacted] Profile of our business Real Esales LLC. Our Lawyer [redacted] sent her a Cease and Desist Letter on October 3, 2016 (see attached documents) but our client [redacted] failed to stop her harassment and slandering of our company.[redacted] signed up in June 28,2016 to receive referrals for a period of 12 months as well as built a profile for her on our nationwide directory (see attached documents). Every agent on our network agrees to our Terms of Service electronically before signing up and paying for the program which she did (see attached documents). She was aware she also needed to sign the contract electronically but failed to get us the formal agreement back that triggers us being able to send referrals. After many attempts and even going as far as to offer to speak with her internet provider to assure the formal contract email would be delivered she wasn't willing to resolve this issue. In addition, she filed a credit card dispute on October 5th for her $899 purchase as well as filed a complaint with the Revdex.com asking for a full refund. This was after I proposed she remove any defaming and false statements she had made online and I would refund her in full. She said she would think about it and get back to me, which she failed to do and then we started to notice the slandering comments starting to take place. When a client files a dispute with their Credit Card Company the funds are taking out of our merchant account and the client is issued a provisional credit until the review process is completed which takes anywhere from 60-180 days. So, we weren’t even able to refund her because the money was gone!Throughout the last several months [redacted] has contacted current clients of ours as well as potential new clients looking into our program. She has attempted to turn them against us because of her unhappiness. This was accomplished by “friend requesting” several clients on [redacted]book that had liked our Business Page and would private message them slandering comments. She has even gone as far as create a fake [redacted] page for our business (see attached documents). I believe she removed these post reviews upon receiving the Cease and Desist Letter from our attorney. In the past couple months she has conspired with 10 or more other agents (some not even on our program) in an attempt to take our business down. Most of her unhappiness stems from her not receiving referrals from our company. However, every agent must have a formal contract signed on file so when we send a client to them we are owed the fee if any success results from our referral. I explained this to her many times, if we don’t have a binding contract then she wouldn’t have to pay the fee upon a closed a escrow. Had we got the contract, she would be already working referrals in her designated areas.The last we’ve heard from her was an email saying she doesn’t agree with the Cease and Desist Letter and will not abide by it. At this point in time, we’re going to let our Attorneys handle the situation and we hope [redacted] refrains from anymore slandering or defamation of our company.Thanks[redacted] CEO, President

July 18, 2016. Our company markets each real estate agent in their prospective area and utilizes our same proprietary methods and efforts with each. Like every marketing program, it’s impossible for us to actively project when an agent will start to receive leads. We have delivered EXACTLY what [redacted] signed up for and was informed of everything the program entails. There's a lot going on behind the scenes, following up with clients all day can be exhausting but rest assured we're always working hard to find more business for each agent.Once an agent on-boards, their start up cost is allocated into [redacted] targeted ads, Google search and display ads and our call center team that reaches out to Expireds, withdrawn, canceled and FSBO listings. We run several ads on Google and [redacted] driving traffic directly to your website as well as yours to ensure we capture them. Their advertising is very expensive, although they are highly used platforms there is no guarantee that we will see any quality out of the inquiries that are generated. Because selling your home or buying one is such a big decision and investment, sometimes the contacts we do generate are just not ready to pull the trigger. We go through each and every submission on our hundred of sites within 5 minutes, we exhaust a lot of time scrubbing through to find the few that are actually real people and are interested.We just rolled out a lot of new features that help with branding, exposure, and your online presence. We redesigned all the profiles to now include video, a link to your IDX search and active listings as well as any profiles you'd like to link: [redacted] etc.When a consumer is on an agent’s Top Agent Connection Profile our agent client will always get their lead contact info. With property sites like [redacted] and [redacted] where consumers are going to look at houses and along the way they may see some agents, they are most likely remembering the houses they saw, not the agents. So, maybe an agent will have exclusivity on their listings, well I went to your property but also 4 other ones where I filled out the contact form and even wrote one agent's number down. I may have been interested in your listing but I called your competitor's agent that was on the other listing and told him the properties I was interested. As a buyer, my business went to another agent instead of you because of the way [redacted] is designed. We want to be the site where they come to find an agent not just a property. They can access your IDX search and active listings right from an agent’s profile and their info is always going to the agent not their competitors.Because we commit to delivering an ROI to every client of ours, even if it takes longer than we had expected and you had hoped, it’s a great program to help boost a pipeline in the right direction. Not only that but we guarantee at least 1 listing under contract from our service even if it takes longer than the 12 months. We want every client to succeed but they have to be willing to work with us as a partnership to obtain results we’re both satisfied with. [redacted] has not given us the chance to do that. At this point in time we wish to counter-dispute due to the fact that we have built her out a custom marketing package and follow up system as well as paid staff to work on her account and contact homeowners and buyers in his area. We do offer refunds after 48 hours because of this fact and he was given the chance to cancel before that period if he was unhappy with the terms of service. RealEsales.com and TopAgentConnection?RealEsales is your one-stop remote marketing assistant that utilizes online marketing to generate you more business in your market and nearby markets. We gear your advertising towards buyers, sellers or both. All of our ads are redirected to a large variety landing pages and websites that are branded under our company or sub-brands and websites we operate. We also have an in-house call center to generate seller/buyer leads through various campaigns. We do not guarantee a set amount of leads. Since we have no control over real estate market trends or the clients themselves, leads are not guaranteed. Buyer/Seller contact info is sent to your preferred email after they have expressed interest to us and agreed to accept a call or communication from an agent on our program. We will call and text you with each lead and email over their info. Each lead goes to only 1 agent, if the lead is not accepted or we do not hear back from the assigned agent within 30 minutes, we may assign the lead to another nearby agent as we cannot have leads go unanswered or unattended to. When you get a buyer an accepted offer or a seller under contract, a fee is owed, see table below. Listing fees are owed upon being actively listed on the MLS, an agent has 30 days to submit payment to company. After 30 days the fee is increased by $500. Not only is this harmful to the company's reputation, clients we help and employees who work here, but it harms each Agent on our program. Investing in a company who works for you and advertises for you, then turning around and damaging that company doesn't help anyone. The Agents who are part of this group mostly have a limited grasp on marketing or haven't completed many transactions, we empathize with this and our staff offers free consulting, training and marketing ideas that are a perk offered for being a partnered Agent. Our marketing is clearly all over, our website shows up top of google for many Top Agent search keywords and we invest over a million dollars into marketing, development, websites, design and [redacted]s that is done on behalf of every agent. I am happy to go into detail what we do for each Agent and strategize with them, filing complaint and writing negative things online hurts every agent, client, employee and person who visits our site and as I've displayed above, we clearly set expectations and prove our work for each Agent.

[redacted] became a client of realesales in January of 2016. She paid $599 for the year. She claimed that we did not send any referrals but she did receive one on January 10, 2017. She replied stating that the owner wished to continue trying to sell the property on their own. After...

researching the referral further I saw that the property is still for sale by owner today. The proper way to work any sales lead is to continue to follow up. It's not our job to sell the homes for the agents. Our job is to get their foot in the door. Whenever [redacted] has emailed or called us with any concerns, we have been responsive and transparent. Marketing is very difficult. It is hard to predict consumer behavior. For most of our agents the program has worked very well. As a company, we make our money when an agent lists the referral and the property is sold. So of course we want agents to sell as many homes possible. We have offered [redacted] a free renewal so that she may list a home, sell it and get a return on her investment. After further review this may not be beneficial for our organization. It came to my attention that she has been calling our agents telling them not to do business with us and trying to tarnish our brand. This needs to stop immediately. As for the refund of $699, she only paid $599 but you can't be on a program for a year and ask for a refund when the year is up. It's just not rational. I will continue to try and reach out to [redacted] but she has not returned any of my calls.  [redacted]Consumer Relations

[redacted] is getting off topic. [redacted] is weighing everything on this e-mail.  I called [redacted] and they don’t have a “blacklist” nor do they have a filter.  They stated that if I was able to receive all these emails from them, then why not the packet? [redacted] states it’s because he sends the packet HTML. Which packet is he referring too? Per [redacted] there is no contract?  [redacted] states during our recorded call that [redacted] did say I would receive a few leads “at least one!” in the first few weeks. I was advised they didn’t have any leads yet, they were working them…The continue to contradict themselves over and over. They debit my account with my permission, but under the agreement I was going to receive leads, a contract and a welcoming packet.  I was under the impression Real Esales was Revdex.com ACCEDITED!. This was a big reason I signed up with them in the beginning.  Then I found out that was not true but they still have the logo on the bottom of their page.  They also have they are 5star with [redacted] when they are only 3star.  All false advertising.  As you can see in this email chain, per [redacted] there was no contact with me after our last contact.  Today 9/26/2016 [redacted] posted a bad review on my Realtor page on [redacted]book (screen shot attached) then I started replying to his review with the other complaints from other agents, he then removed his review.    What [redacted] did on my realtor page is slander because he was never my client.  CEO [redacted] sent me a friend request on [redacted] book after sending me a threatening email that they are going to take legal action if I did not remove my review.  So [redacted]s comment is false.  I just found out today that there is another realtor in my office who said I have permission to use her name [redacted] who is having the same exact issue. She also put in a complaint with the Revdex.com. Appraently [redacted] threaten to put a bad review on her page also.  This company is beyond unprofessional. Per [redacted] said he was waiting for me to contact him. He said I told him I had to think about it.  Yes I had to think that if I removed that review just for money that I was allowing him and his company to have control over me and be able to take advantage of other agents.  I decided not to remove my review, so real esales removed their review link so no one has the ability to leave a review on their page.  Several agents are more than willing to come forward.  Everyone is mirrored from them leaving a review and then getting the threatening emails, then the company stating they will refund their money if they remove their review.  It’s unethical and should be illegal.  He said they work with over 5000 agents. I was advised they have 14 people who work on leads by [redacted].  How can so little people scrubbed leads for 5000 agents? Impossible!  Scrubbing leads means someone has talked to them and verified they want to sell or buy a home and have been pre approved.  That’s a scrubbed lead.  He said during the call if we don’t see any success in 12 months he would refund their money. So I can let the other agents know he will refund all their money if no leads in 12 months?  Then on the other hand he says no guarantee.  [redacted] said they can’t send me leads until they get the contract back, but though they could debit my account.  During the call he states it’s NOT a contract, now there is NO contract.  We are just signing the terms and conditions.  I advised [redacted] I received an email from [redacted] and he stated he has pages built out for me. [redacted] said yes we do but can’t send me any leads until I sign the terms and conditions.  He said he was aware I wasn’t getting leads. I said you were aware and no one contacted me? He said they debit our accounts first before we can read “contract”  I said so you debit our accounts before we get to read the contract.  He said I knew the contract was coming immediately after my phone conversation with [redacted]..He said the contract is right on the website.  www.Real Esales.com  [redacted] said on the recorded call that the contract is not a binding contract it’s to protect them only… He said the terms and conditions is not for us..he said not a lot to terms and condition. If you do list within 21 days they are owed… he brought up twice to me first 6 to 8 weeks are slow..  maybe 1 maybe zero..he said he can send me a copy of the call log.  Then after asked for it in email (attached) he said it’s for internal use only.  I asked why not have people go to the site. he says its electronic signature, I said so?  I asked why don’t you have people go to the site on line.  It says sign below.  He said it’s before you sign aaaaaa (he was getting ready to say…before you sign a contract)  BUT he caught himself.  I asked why would you remove a review off your page. He said I had no right to write that review???   Bottom line, They are taking advantage of realtors.  They are taking our money and not providing what they promise. They know that most realtors won’t take the time I have.  I want them shut down.  I can provide approx 11 other agents off the top that have the same complaints.  One agent said she got a lead but didn’t accept? I said why not..They Live outside the COUNTRY and barely could speak english and said they wanted a home that was over an hours drive and outside the zipcode she purchased.

Their response is a total fabrication. This is the quote from their website:Our unique approach to Real Estate client referrals takes the pressure off the agent. We do the lead generation, we call each lead and we nurture the leads until they are ready to meet an agent. We are essentially virtual assistants that find clients who are ready to meet you to sell or buy their home. Real Esales is a performance based partnership. We collect a lead fee off each client you successfully list and each buyer that has an offer accepted on a home. The fees are very low when you factor in the costs to obtain quality leads, the time it takes to nurture prospects and how much commission is collected at closing. All around, this is a performance based system. For this reason, Real Esales is only offered to Top Agents who know they can sell homes and give clients a great experience in the process start to finish.I am halfway through the membership period and they have only produced one lead. That lead was not screened as they state on their website. That person had no intention of meeting an agent. That is the only lead that they provided in six months. The website that they supposedly built for me (this is the firs time that I have heard of the website) is not a viable link to anything.  They have not proposed any resolution or offered a refund. I would like to see a list of leads that they sent me.

We collect a lead fee off each client you successfully list and each buyer that has an offer accepted on a home.   We work for Agents to take pressure off them by enabling them to invest a little to join a partnership where we deploy advertisements and websites that displayed so Homeowners can meet a great Agent. We deploy the ads, work whatever submissions come in and connect them with a great agent. We find clients who are ready to meet YOU to buy or sell their home, we display your profile to them and let them know we suggest YOU as an Agent. We get compensated when they choose to hire this Agent at point where the Agent has accepted to work for a client on the grounds they are confident they can do whatever is in their means to sell their home. This is all correct and I fail to see the issue as we are delivering every element of this.
