Stock
Vtg failed to meet a contract agreement in which my company invested money into this company to host services per the contract we signed with vtg. Vtg failed to the meet the requirements.and issued our company a stock certificate for my companies payment to them to be pur mvno which was never fulfilled. I am in possession of a stock cert of 72000 shares at One dollar for my investment. I would like to sale the shares but the problem with vtg’s stock is that they are private and unlike public companies cannot be sold Freely on commerce platforms as public stocks are sold. If you or I wanted to sale vtg’s stock you would have to sale it to a private seller or vtg would have to buy it back. I hope that VTG will buy it back but I am having trouble reaching them.

connection with the above-referenced case involving *** ***Although your letter is addressed to the Company, Ms*** references Armed Forces Wireless/Mobile, Inc(“Armed Forces Mobile”)Armed Forces Mobile is a separate legal entity, but it is affiliated with VTG MobileThus, we will address the complaint as such.Ms*** participated in two private placement securities offerings conducted by Armed Forces Mobile under Regulation D (Reg D)Reg D is a Securities and Exchange Commission (SEC) regulation governing private placement exemptionsReg Dallows smaller companies to raise capital through the sale of equity or debt securities without having to register their securities with the SEC.Reg D offerings are mostly limited to so-called "accredited investors.” To be considered an accredited investor, one must have a networth of at least $1,000,000, excluding the value of one's primary residence, or have income at least $200,each year for the last two years (or $300,combined income if married) and have the expectation to make the same amount the year the investment was made.Ms*** completed an eligibility questionnaire in which she certified that she was in fact an accredited investor, and had sufficient liquidly to provide for current needs and possible personal contingenciesMs*** subsequently invested $50,on 4/24/2015, which involved a convertible promissory note paying interest at 10%This note was converted to Armed Forces Mobile stock on 8/4/as part of a bonus program, thereby extinguishing any obligation on the part of the Company to pay interest on the noteMs*** purchased an additional 10,shares of Armed Forces Mobile stock on 8/31/2016, under a Reg D offering that was available last year.Ms*** may have been under the mistaken impression that interest payments would continue, even though the legal documents outlining these transactions refute any such claimAny future payments would have to come in the form of dividends, which are at the discretion of the board of directors based on an evaluation of the business at the end of the yearThe Company currently has a 3-year growth plan, during which time it will seek a liquidation event (i.e., sale or merger), thereby allowing the shareholders an exitThe Company also may offer a stock buyback program at some point, but nothing along those lines is contemplated at this time. The Company has many shareholders, and strives to maintain good investor relationsIt is not in its interest to have a shareholder that does not share the founder's visionThus, I suggest that Ms*** reach out to the Company in an effort to resolve this matter to her satisfactionPlease have her contact *** *** directly at (858) 568-to further discuss this matter. Please contact me if you have any additional questions or concerns.Sincerely,*** ***Enclosures: Revdex.com letter dated 6/7/2-

I am responding to your letter dated August 21, 2017, in connection with the above-referenced complaint involving *** S*As stated in my first response dated June 13, 2017, I represent VTG Mobile, Incand Armed Forces Wireless/Mobile, Inc(the “Company”)Armed Forces Mobile is a separate legal entity, but it is affiliated with VTG Mobile. It is our position that Ms*** is making an unreasonable request in asking for a full refund, as outlined in detail in our original letterRegardless, the Company did make Ms*** a reasonable settlement offer, which was rejected by herSpecifically, the Company was willing to covert her stock back into a promissory note paying interest at 10%Ms*** continues to insist on a full refund, a position not warranted by the documentation she signed. Until the Company is in a position to offer a stock buyback program, we see no other avenue to resolve this matter at this timeHowever, our initial offer (as stated above) still stands, and may be accepted by Ms***. Please contact me if you have any additional questions or concerns. Sincerely,
*** *** ***
