Complaint: [redacted]I am rejecting this response because:Salesforce has not been able to provide any proof that I signed up for an annual contract, despite multiple requests. They do not have a signed contract, or any sort of electronic signature from me. They claim that I was informed that I was agreeing to an annual contract, but I was told otherwise by the rep, and they have yet to produce any documentation that indicates that I agreed to a 1 year contract. I have asked for a recording of the sales phone call where the rep told me that I was entering into a quarterly agreement, but they have yet to produce that either. Our sales representative told us that our contract was quarterly, not annual.  We wanted to cancel 2 quarters ago, and Salesforce would not allow us to.  It is unfortunate that a Salesforce sales rep lied to us in order to win business, but that is an issue for Salesforce and your HR department - I am not going to pay just because a sales rep lied to us.  Things don't work that way.
 
We have absolutely no intention of paying your invoices, as we consider our Salesforce subscription cancelled, and we will re-submit for cancelling on December 9th 2016.

Per our MSA that was signed by you on 2/20/2014, Section 12.2 states -
Term of Purchased Subscriptions. The term of each subscription shall be as specified in the applicable
Order Form. Except as otherwise specified in an...

Order Form, subscriptions will automatically renew for additional
periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other
notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during
any automatic renewal term will be the same as that during the immediately prior term unless We have given You
written notice of a pricing increase at least 60 days before the end of that prior term, in which case the pricing
increase will be effective upon renewal and thereafter. Any such pricing increase will not exceed 7% of the pricing for
the applicable Purchased Service or Content in the immediately prior subscription term, unless the pricing in the prior
term was designated in the relevant Order Form as promotional or one-time.
We also sent you 3 Auto Renewal notification emails on 12/5/2014, 12/30/2014, and 1/24/2014 to the email on file at [redacted]@gmail.com. There were no responses received to cancel, therefore the contract renewed.
At this time, we have notified the collection agency to cease collecting on your account and should no longer receive calls.

To my understanding, 101 Bio does not owe salesforce the $300 fee for year 2015~2016 any more, right? Please confirm.

Customer partially settled with 3rd party collections and case has been closed. Customer accepted and signed a 36 month contract and MSA. Under Term and Termination 12.2 states the following - 12.2. Term of Purchased User Subscriptions. User subscriptions purchased by You commence on the start date specified in the applicable Order Form and continue for the subscription term specified therein. Except as otherwise specified in the applicable Order Form, all User subscriptions shall automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any such renewal term shall be the same as that during the prior term unless We have given You written notice of a pricing increase at least 60 days before the end of such prior term, in which case the pricing increase shall be effective upon renewal and thereafter.
