resolving this matter.   The Board of Directors, also owners, meet each year to discuss the annual maintenance fee. At this board meeting it is voted to see if the dues will increase or remain the same for all owners. The Board of Directors meetings are listed on Lost Valley Lake Resort’s web page, in the new letters that are mailed to all owners quarterly and also in the yearly calendar. As it has been in years past, we strongly encourage all owners to attend the meetings to stay up to date on the current Resort events. If Ms. [redacted] wishes she may attend the next Board of Directors meeting being held here at the Resort on May 20th at 10am to have her concerns addressed by the Board. All Board meetings are held on Saturdays, normally mid-morning, making it easier for owner’s attendance.   To the owners that failed to attend the Board meeting, held on January 21st, 2017, a letter depicting the increase in dues will be included in the annual billing statement. Dues for all owners increased for the following reasons: New Sewer Treatment Plant: The current usage exceeds current plant capacity by almost doubling the gallons per day used. Recognizing this fact, the Board retained MECCO Engineering to develop a plan for meeting the Club’s needs in accordance with new Missouri Department of Natural Resources and Federal Waste Water discharge requirements. Our Current plant permit expires on November 1st, 2018, so a new treatment plant must be operation by then. With an estimate build time of six months, it is imperative we fund this project now. New Swimming Pool: The Board has exhausted all efforts to maintain the swimming pool in sufficient working order, but our thirty-year old pool now has to be replaced. The pool leaks up-to 10,000 gallons of water per day and the filtration system cannot keep up with the demand upon it. Construction is planned to start after Labor Day 2017 and to be completed by Memorial Day 2018. Again, it is imperative to fund this project immediately. Again, this information plus an additional three pages depicting the increase will be received by all owners in the next week in the annual statement or it may be viewed on line at LostValleyLake.com.   Article VI Section 3, mail notification of meetings, “This violates Article VI Section 3 regarding how notice of meeting is to be given”.  Article VI Section 3 states “meeting of the membership”. The recent meeting on Jan 21st was a regularly scheduled Board of Directors meeting, not a membership meeting. The BOD meetings are the same time each year and widely published, all owners are encouraged to attend. In fact, there were 20+ owners present at the Jan 21st annual meeting.   According to the Rules, Regulations and Bylaws, given to all owners at the time of closing: Dues may be increased by the Board of Directors, provided, however, in no event may the dues of any one member be increased without increasing the dues of all members proportionately. Fees, if any, for Club activities shall not be deemed to be dues or assessments, and the same shall be determined by the Board of Directors. Dues shall be used for the operation, improvement, and maintenance of the Club and the Club property and for no other purpose.          The Board of Directors is committed to maintaining the dues at the lowest possible rate while also protecting the health and welfare of LVL and maintaining our excellent rating in the camping industry. The Board anticipates this short-term dues increase will be sufficient to cover the cost of the sewer treatment and swimming pool projects. We are expecting the dues to decrease for the year 2018. Any and all changes or adjustments to the dues was ran through the Resorts legal advisor before being passed by the Board of Directors. A special BOD meeting was held on Jan 18th which was a closed session, minutes are published on LVL website for review. The BOD only received the final project costs and recommendations from the engineering company hired for the project on Jan 18, 2017. Time was of the essence for the Board to determine funding for the projects which would be discussed and settled at the annual BOD meeting open to all owners on Jan. 21, 2017. Due to the time constraints mandated by Federal and State regulations, the sewer treatment facility must be completed by Nov 1, 2018 there was not time to spread the increase out because funds are needed to start and complete the projects in order for the resort to maintain a safe environment for all owners. With that being said payment plans were designed to help owners with the increase.   Lost Valley Lake Resort is allowing owners who can’t pay the increase in dues before April 1st, to be set up on a payment arrangement. As long as a minimum payment of $150.00 is made in the month of March and every 30 days thereafter, owners may still have access to the Resort with the exception of major holidays until the balance is paid in full.     Sincerely, [redacted] Lost Valley Lake Resort
