program’s terms and conditions specifically state that GNC reserves the right
to vary, change or discontinue the Gold Card program at any time and that the
Gold Card purchase price is non-refundable. These terms are presented to
the customer when the customer purchases the Gold Card. GNC is therefore
within its rights to discontinue the Gold Card program and to not refund the
Gold Card purchase price. Nonetheless, we have provided such customers
with a coupon that they can use to obtain a discount on a future purchase and
the coupon’s value is commensurate with the pro-rata amount of their Gold Card
purchase.
